Vor Biopharma Inc. (Nasdaq: [VOR](https://aibio.space/companies/vor-biopharma/)) said on May 8, 2025 that it is winding down its clinical and manufacturing operations, cutting its workforce by 147 full-time employees and starting a process to explore strategic alternatives. The company disclosed the plan in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1817229/000119312525115554/d924194d8k.htm) that also reports the departure of two executives. It estimates the total cost of the wind down at approximately $19.3 million.

## The wind down and layoffs

The board of directors approved the wind down on May 5, 2025. The company says it is acting as it conducts a process to explore strategic alternatives to maximize shareholder value. The 147 employees are approximately 95% of its current employee base. Vor expects to complete the workforce reduction by the end of the second quarter of 2025 and to incur a significant majority of the wind down costs in that quarter.

The company's estimate of approximately $19.3 million breaks down as follows. About $3.5 million is for contract termination and other costs from discontinuing its clinical trials. About $0.5 million is for contract termination and other costs from exiting its manufacturing facility. An approximately $4.4 million loss is expected on disposal of fixed assets, and approximately $10.9 million is for the workforce reduction. Vor may also incur other charges or cash expenditures it does not currently contemplate, and actual results may differ.

## Strategic alternatives

In a [press release](https://www.sec.gov/Archives/edgar/data/1817229/000119312525115554/d924194dex991.htm) filed with the 8-K, Vor Bio said that, based on currently available clinical data from its key clinical programs and a challenging fundraising environment, the board approved a process to explore strategic alternatives. These could include a sale of assets, a licensing of assets, a sale of the company, a business combination, a merger or another strategic action.

The company said the decision to discontinue clinical operations is not due to any safety concerns with its product candidates. It plans to keep approximately 8 employees to help explore strategic alternatives, maintain regulatory and financial reporting compliance and finish winding down clinical and manufacturing operations.

Vor Bio has no defined timeline for the process and is not confirming that it will result in any strategic alternative being announced or completed. It does not intend to discuss further developments until its board approves a specific action or disclosure is otherwise appropriate or required by law. It has retained Cooley LLP as its legal advisor.

## Cash on hand

The press release says that as of December 31, 2024, the company had cash, cash equivalents and marketable securities of $91.9 million. It plans to report first quarter 2025 financial results as planned on May 14, 2025.

The release does not say what the clinical data showed. It ties the decision to "currently available clinical data from its key clinical programs" and a challenging fundraising environment, while saying safety was not the reason, so shareholders are told the outcome but not the evidence. Vor still held $91.9 million at the end of 2024, which is the pool a sale, licence or merger would be weighed against.

## Executive departures

Under Item 5.02, Vor terminated the employment of Han Choi as Chief Financial Officer and Tirtha Chakraborty, PhD as Chief Scientific Officer and Head of Technical Operations on May 8, 2025, without cause. Both departures are effective May 16, 2025.

The company expects to sign a separation agreement with each of Dr. Choi and Dr. Chakraborty. Each executive would receive a lump sum equal to ten months of his base salary in effect on the separation date, less taxes and withholdings, plus up to ten months of continued health coverage under COBRA. The agreements will include a general release of claims in favor of the company. Vor also expects to enter a consulting agreement with Dr. Chakraborty for transition services, subject to mutual agreement of terms.

## About the company

Vor Bio describes itself as a clinical-stage cell and genome engineering company. It aims to change the standard of care for patients with blood cancers by engineering hematopoietic stem cells to enable targeted therapies after transplant. Chief Executive Officer Robert Ang signed the 8-K for the company.
