Vogenx filed a Form S-1 on July 15, 2026 for an initial public offering with the share count and price still blank. The filing reports $251 thousand of cash on March 31, 2026, and its financial statements carry going-concern doubt.

Vogenx, Inc., a clinical-stage biopharmaceutical company based in Raleigh, North Carolina, filed a registration statement on Form S-1 with the Securities and Exchange Commission on July 15, 2026 for an initial public offering of its common stock. The preliminary prospectus leaves the number of shares, the price range and the proceeds blank. Vogenx has applied to list the stock on the Nasdaq Capital Market under the symbol VOGX. It says it will not complete the offering if the listing is not approved, and that no assurance can be given that approval will come.

## The lead drug

The lead investigational product is mizagliflozin, a selective inhibitor of the sodium-glucose transporter 1, or SGLT1. Vogenx is developing it for post-bariatric hypoglycemia, or PBH. The company describes the drug as orally administered and minimally absorbed. The filing says mizagliflozin has been given to more than 500 subjects in 10 clinical studies, and that the company has completed two Phase 2 studies in PBH patients showing a statistically significant reduction in postprandial glucose absorption and insulin secretion.

The two PBH studies, VGX-001-011 and VGX-001-012, involved a total of 24 patients, so the Phase 2 evidence is very small. The company has begun study startup work for a Phase 2b study called EMERGE, and expects to begin screening patients in 2026. It also plans a Phase 2 proof-of-concept trial in gastroparesis, which it plans to start in 2027, subject to additional funding. The company holds its rights through patents and know-how licensed from Kissei, under which it owes milestone payments and royalties on net sales.

A second candidate, VGX-2857, is preclinical and is being considered for metabolic indications, including weight maintenance. The filing says further discovery work depends on additional funding.

## Cash, losses and the going-concern warning

Cash and cash equivalents were $251 thousand as of March 31, 2026. The net loss for the three months ended March 31, 2026 was $475 thousand, and the accumulated deficit rose to $11.3 million from $10.8 million at December 31, 2025. The company says it has financed its operations mainly through Series A convertible preferred stock and convertible promissory notes.

Net losses were $2.2 million in 2024 and $1.4 million in 2025. The auditor, BDO USA, P.C., includes a going-concern paragraph: the company has suffered recurring losses and has not generated positive cash flow from operations, which raises substantial doubt about its ability to continue as a going concern. The auditor's report also refers to a restatement of the 2024 and 2025 financial statements, which the company says corrected the weighted average share count used for net loss per share after finding that Series A preferred had been wrongly included. It called the error material. The prospectus also says the company has identified material weaknesses in its internal control over financial reporting.

The company intends to use the net proceeds, together with its existing cash and marketable securities, to fund the continued development of mizagliflozin and for other purposes. The filing does not say how the planned Phase 2b study would be paid for if the offering does not close.

## The offering terms

The underwriters are offering the shares on a firm commitment basis. They have a 45-day option to buy additional shares from the company at the offering price, less underwriting discounts and commissions. Lock-up agreements with the underwriters may be released early at the representatives' discretion.

## Who is named

JonesTrading Institutional Services LLC is lead book-running manager and representative of the underwriters. The filing names no other underwriter, placement agent or financial advisor. Smith, Anderson, Blount, Dorsett, Mitchell & Jernigan, L.L.P. of Raleigh will pass on the validity of the shares for Vogenx, and Sichenzia Ross Ference Carmel LLP of New York is counsel to the underwriters.

## What the filing leaves out

With the share count and price range blank, the size of the raise cannot be judged. The filing gives no pricing date, no timetable and no plan for the company's cash beyond the offering itself. Investors would need the final prospectus to see what the company would receive and what it would owe its licensor.
