Vivani Medical, Inc. (Nasdaq: [VANI](https://aibio.space/companies/vivani-medical/)) agreed to sell 7,936,507 shares of common stock at $1.26 per share in a private placement, according to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1266806/000175392625001328/vani-20250811.htm) filed August 13, 2025. The purchasers are an entity affiliated with one of its directors and another investor. The company expects gross proceeds of approximately $10.0 million by July 15, 2026. The money does not arrive at once, because the sale is set to close in stages.

## The terms of the private placement

Vivani entered into a Share Purchase Agreement effective August 11, 2025. The price of $1.26 per share was the last reported sale price of the common stock on that date. The placement is expected to occur over a number of closing dates through July 15, 2026. Each closing is subject to closing conditions being satisfied or waived. At each closing, Vivani will issue and sell a set number of shares to the purchasers for a determined price.

The filing says no warrants or discounts were provided. It also says no placement agent or investment banking fees were incurred. The shares will be issued under Rule 506 of Regulation D and are not registered under the Securities Act of 1933, so they cannot be offered or sold in the United States without registration or an exemption.

## Who the purchasers are

The [agreement](https://www.sec.gov/Archives/edgar/data/1266806/000175392625001328/ex101_1.htm) filed as Exhibit 10.1 names the purchasers as Gregg G Williams 2006 Irrevocable Trust and SDVF, LLC. The press release says one of the two investors is an entity beneficially owned by Gregg Williams, who is identified as Vivani's Chairman of the Board. VStock Transfer, LLC is named as the company's transfer agent.

## The company's cash position

In its [press release](https://www.sec.gov/Archives/edgar/data/1266806/000175392625001328/ex991_2.htm), Vivani said the new financing secures its financial position into the second half of 2026 and supports faster development of NPM-139, a semaglutide implant. The release reported cash, cash equivalents and restricted cash of $8.1 million as of June 30, 2025, compared with $19.7 million as of December 31, 2024. The company attributes the $11.6 million decrease mainly to a net loss of $13.4 million.

The release also lists earlier financing. On May 12, 2025, Vivani announced a private placement of 2,912,621 shares at $1.03 per share for expected gross proceeds of approximately $3.0 million. Counting equity purchase agreements entered into in March 2025, May 2025 and August 2025, the company says an additional $21.25 million of committed capital will be contributed through July 2026.

For the three months ended June 30, 2025, research and development expense was $4.8 million, compared with $3.5 million a year earlier. General and administrative expense was $2.7 million, compared with $2.2 million. The net loss was $7.1 million, compared with $5.3 million.

## Business update and Cortigent spin-off

Vivani said it plans to advance NPM-139 and expects to start its clinical program in 2026. It also said it plans to spin off Cortigent, Inc., a division that develops brain implant devices, as an independent publicly traded company. Vivani anticipates completing the spin-off in the third quarter or fourth quarter of 2025.

On June 11, 2025, the company announced the appointment of Anthony Baldor as Chief Financial Officer, succeeding Brigid A. Makes.

## About the company

In its annual report on [Form 10-K](https://www.sec.gov/Archives/edgar/data/1266806/000175392625000527/vani-20241231.htm) filed March 31, 2025, Vivani described itself as a clinical stage biopharmaceutical company that develops miniaturized, subdermal drug implants using its NanoPortal technology. Its lead programs are NPM-115 and NPM-139, both GLP-1 implants under development for chronic weight management.

Chief Executive Officer Adam Mendelsohn, Ph.D. is quoted in the release on the prioritization of NPM-139. Donald Dwyer, Chief Business Officer, signed the 8-K for the company.
