Vistagen Therapeutics, Inc. (Nasdaq: [VTGN](https://aibio.space/companies/vistagen-therapeutics/)) said on August 5, 2026 that Nasdaq has given it a 180-day extension, until February 1, 2027, to regain compliance with the minimum bid price requirement. The company disclosed the notice in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1411685/000162828026053304/vtgn-20260804.htm) filed under Item 3.01. The company says the extension has no immediate effect on its listing.

## The bid price notice

On August 4, 2026, Vistagen received an extension notice from the Listing Qualifications Staff. The rule is Nasdaq Listing Rule 5550(a)(2), which requires a minimum bid of $1.00 per share for continued listing on the Nasdaq Capital Market. The company first received a bid price deficiency notice in a Form 8-K filed February 6, 2026, after its stock traded below $1.00 for 30 consecutive business days. It has not yet regained compliance and has told Nasdaq it intends to cure the deficiency within the extension period.

If it does not, Nasdaq will notify the company in writing that its stock will be subject to delisting. Vistagen could then appeal to a Nasdaq Hearings Panel. The company says there is no assurance such an appeal would succeed. The filing does not say what share price or reverse split Vistagen would use to meet the test.

## The lead drug missed its primary endpoint

The bid price problem sits next to a clinical setback. Vistagen's most advanced candidate, fasedienol, is in Phase 3 development for the acute treatment of social anxiety disorder. The company's [annual report, filed June 15, 2026](https://www.sec.gov/Archives/edgar/data/1411685/000162828026043271/vtgn-20260331.htm), says PALISADE-1, completed in 2022, did not achieve its primary endpoint in the randomized phase, measured as the change from baseline on the SUDS score compared with placebo. It says the same was true of PALISADE-3, whose randomized portion was completed in December 2025. After the negative PALISADE-1 results, Vistagen ended PALISADE-2 early, after enrolling 141 patients out of a planned 208, and analyzed data from those 141 subjects, which it calls positive. The 10-K also says the company has not yet aligned with the FDA on the patient exposure needed to support a possible fasedienol NDA submission.

The company's business description says each of its five clinical-stage intranasal pherine candidates has at least one positive clinical study in its targeted patient population. That claim is the company's own, and the filing does not give the size or effect of the studies it refers to. The 10-K says topline results from the randomized portion of PALISADE-4 were expected in the second quarter of calendar 2026. Other candidates in the pipeline are itruvone for major depressive disorder, refisolone for vasomotor symptoms of menopause, PH15 for psychomotor impairment and PH284 for cancer cachexia.

## Cash and losses

The 10-K says Vistagen has no approved products and no product revenue, and it lists the need for substantial additional financing "to continue to operate as a going concern" among its risks. The company reported a net loss of $69.7 million for the fiscal year ended March 31, 2026, against $51.4 million for the year before. Its SEC figures show it used $42.1 million in operations in that fiscal year, and that cash and cash equivalents were $67.1 million at March 31, 2025. The 10-K says future equity sales and the conversion, exchange or exercise of outstanding securities would dilute stockholders. The 8-K does not address funding.

Vistagen's stock must now recover above $1.00 by February 1, 2027, or face a delisting process. The company has not announced a financing plan in the 8-K.
