Viatris Inc. (Nasdaq: [VTRS](https://aibio.space/companies/viatris/)) said on February 26, 2026 that it has committed to restructuring activities that it expects to cost between $700 million and $850 million before tax, and that it expects to reduce its global workforce by up to approximately 10%. The company disclosed the plan in a [Form 8-K filed February 26, 2026](https://www.sec.gov/Archives/edgar/data/1792044/000179204426000010/vtrs-20260223.htm) under Item 2.05, the item for costs tied to exit or disposal activities. The date of the earliest event the report covers is February 23, 2026. Viatris is based in Canonsburg, Pennsylvania.

## What the filing says

In 2025 Viatris started an enterprise-wide strategic review, which the 8-K calls the EWSR. The company says the review was meant to build a more focused, efficient and future-ready organization and to position it for sustained growth beginning in 2026. On February 26, 2026 Viatris announced the results of the review and, as part of it, committed to and began implementing restructuring activities.

The activities are expected to optimize the company's commercial capabilities, enabling functions, research and development, medical affairs, regulatory, sourcing, manufacturing and supply chain, including inventory optimization. The workforce reduction is expected to be up to approximately 10%. Viatris says the restructuring, with its costs and savings, will be completed primarily over the next three years. The 8-K does not give a headcount figure for the reduction. Viatris's annual report for 2024 describes a company operating in more than 165 countries and territories with approximately 32,000 employees and 26 manufacturing and packaging sites worldwide.

## The expected costs

For the committed activities, Viatris expects total pre-tax charges of between $700 million and $850 million. Of that, between $50 million and $100 million is expected to be non-cash, mainly accelerated depreciation and asset impairment, including inventory write-offs.

The remaining cash costs, estimated at between $650 million and $750 million, are expected to relate primarily to severance and employee benefits. The rest covers contract terminations, vendor consolidations, product transfer costs and network simplification and modernization.

The 8-K says the company will file an amendment to the report if the charges and future cash costs differ materially from these estimates, as Item 2.05 permits.

## The expected savings

Management believes the savings from these committed activities will be between $600 million and $700 million once the program is fully implemented, with most of them expected to improve operating cash flow. The filing does not say in which year those savings will arrive. The cash cost range is above the savings range at both ends, and the savings are stated only as a total once fully implemented, so the two cannot be compared on a timeline from this report alone.

## Results and call

The same 8-K carries two other items. Under Item 2.02, Viatris reported that on February 26, 2026 it issued a press release with its financial results for the period ended December 31, 2025 and 2026 guidance. The press release is attached as Exhibit 99.1. Under Item 8.01, the company said it would host a conference call and live webcast at 8:30 a.m. ET that day to review fourth quarter and full year 2025 results.

The 8-K text does not state the 2026 guidance figures, so the report alone does not show how the restructuring charges sit against the company's outlook.

## What the plan leaves open

The workforce cut is described as up to approximately 10%, which is a ceiling and not a fixed number. The restructuring is set to run over three years, so the charges and savings are spread across a long period, and investors will not see the full effect of the plan in any single quarter.
