Viatris Inc. (Nasdaq: [VTRS](https://aibio.space/companies/viatris/)) entered into an amended and restated term loan credit agreement on July 1, 2026. The agreement provides a ¥40,000,000,000 principal amount senior unsecured term loan facility. Mizuho Bank, Ltd. is the administrative agent, and Viatris, its guarantors and the lenders are parties to it. The Form 8-K filed the same day names no placement agent, underwriter, advisor or counsel.

The proceeds are for general lawful corporate purposes, including repaying obligations under the company's prior ¥40,000,000,000 unsecured term loan facility dated July 1, 2021. Mizuho Bank, Ltd. was also administrative agent on that earlier facility. The 8-K gives no dollar equivalent of the yen amounts.

## Pricing and covenants

The new facility initially bears interest at the TIBO Rate plus 1.10% a year. The margin can change with Viatris's debt ratings from S&P Global Ratings, Moody's Investors Service, Inc. and Fitch Ratings, Inc. Amounts borrowed fall due three years after the July 1, 2026 closing and can be prepaid without penalty, apart from customary breakage costs.

The agreement requires a leverage ratio of no greater than 3.75 to 1.00 at the end of each fiscal quarter after closing. The filing does not give the ratio at closing. It also restricts subsidiary debt, liens, mergers and investments. If a default occurs, the lenders may declare all borrowings immediately payable.

Guarantors at closing are Mylan Inc., Utah Acquisition Sub Inc. and Mylan II B.V. After closing, each other subsidiary that guarantees third-party debt above $500,000,000 must also guarantee the loan, except receivables entities and Upjohn Finance B.V., a Dutch company, under conditions the filing lists.

## The company and its recent results

Viatris says it supplies high-quality medicines to approximately 1 billion patients a year. Its 10-K, filed February 26, 2026, reports operations in more than 165 countries and territories, more than 30,000 employees and 27 manufacturing, packaging and distribution sites.

Reported revenue was $14.74 billion in 2024 and $14.30 billion in 2025. The company reported a net loss of $3.51 billion for 2025, against a net loss of $634.2 million for 2024. Cash provided by operations was $2.32 billion in 2025 and $2.30 billion in 2024. Cash and cash equivalents were $734.8 million at the end of 2024, and short-term investments were $40.7 million at the end of 2025.

The 10-K says the company has executed strategic initiatives to return its base business to growth, reduce debt and return capital to shareholders. Those are the company's own words. Viatris contributed its biosimilars portfolio to Biocon Biologics in November 2022, for cash and a stake of approximately 12.9% on a fully diluted basis. It sold its women's healthcare business to Insud Pharma, S.L. in March 2024, its India API business to Matrix Pharma Private Limited in June 2024, and its OTC business to Cooper Consumer Health in July 2024. The 10-K says those divestitures were meant to simplify the business and accelerate debt paydown.

## Pipeline

The 10-K describes positive top-line results from two pivotal Phase 3 studies of MR-107A-02, a fast-absorbing formulation of meloxicam for moderate-to-severe acute pain, and from LYNX-2, a pivotal Phase 3 trial of MR-142 for night driving impairment. Those results are the company's own description, and the filing gives no regulatory decision for either program.

The filing also says the NDA for a low-dose estrogen weekly contraceptive patch was accepted under the FDA's 505(b)(2) pathway, with a target action date of July 30, 2026. A supplemental NDA for MR-141 in presbyopia, based on the VEGA-3 study, was accepted in February 2026, and the company anticipates FDA action in the second half of 2026. The company says enrollment for selatogrel and cenerimod remains on track.

## What comes next

The next dated item is the FDA target action date for the patch, July 30, 2026, a regulatory step still ahead. The loan falls due three years after closing, and its leverage covenant is tested at each fiscal quarter end after closing.
