Veru's 1-for-10 reverse stock split took effect at 11:59 p.m. Central time on August 8, 2025, and the stock trades split-adjusted from August 11. The 8-K gives no reason for the split and no pre-split share count.

Veru Inc., a Wisconsin corporation based in Miami and listed on the Nasdaq Capital Market as VERU, reported in a Form 8-K dated August 8, 2025 that it filed Articles of Amendment that day to carry out a 1-for-10 reverse split of its common stock. The split took effect at 11:59 p.m. Central time on August 8. Every 10 shares outstanding became one share. The company announced the split in a press release on August 6, 2025, which is attached to the 8-K as Exhibit 99.1.

## Trading, shareholder approval and fractions

Beginning with the opening of trading on or about August 11, 2025, the stock trades on a split-adjusted basis under a new CUSIP number, 92536C202. The ticker remains VERU.

Shareholders approved the reverse split at a special meeting on July 25, 2025. They authorized a ratio within a range of 1-for-2 to 1-for-20, with the ratio to be set by the board. The board then chose 1-for-10. No fractional shares will be issued. Holders who would otherwise receive a fraction will receive cash instead.

The split does not reduce the number of authorized shares and does not change the $0.01 par value. The company says it affects all shareholders uniformly and does not change any shareholder's ownership percentage, except where cash is paid for fractions.

## Equity awards

The company also made proportionate adjustments under four plans: the 2008 Stock Incentive Plan, the 2017 Equity Incentive Plan, the 2018 Equity Incentive Plan and the 2022 Employment Inducement Equity Incentive Plan. The changes cover the number of shares under outstanding awards, the exercise prices of those awards, the shares reserved for future grants and the limits on grant sizes. Holders of outstanding options and other awards will therefore see those figures change with the split.

## What the 8-K leaves out

The 8-K does not give a reason for the split. It does not mention a Nasdaq bid price notice, a compliance deadline or any other listing rule. It also gives no share count before or after the split, and no share price on which the 1-for-10 ratio was based. Readers cannot tell from the filing how much the per-share price needed to rise, or whether the company expects the stock to hold a higher level.

The split is a mechanical change. It does not, by itself, add cash, reduce the company's liabilities or change its drug development plans.

## The business behind the listing

The company's annual report for the fiscal year ended September 30, filed in December, describes Veru as a late clinical stage biopharmaceutical company. Its lead programs are enobosarm, an oral selective androgen receptor modulator, and sabizabulin, a microtubule disruptor. The report says the company is running a Phase 2b study of enobosarm, called QUALITY, in approximately 168 randomized older patients who are overweight or obese and taking a GLP-1 drug. The study compares 3mg and 6mg doses with placebo. The annual report describes the study as being conducted when it was written.

Enobosarm is also being developed for metastatic breast cancer, but only "subject to the availability of sufficient funding." For sabizabulin, the report says the company will not pursue viral-induced ARDS until it obtains funding from government grants, pharmaceutical partners or other third-party sources. The company says it will need substantial capital to support development and any commercialization of its candidates.

As of that December report, the annual report described the FC2 female condom as the company's FDA-approved commercial product, and said the company seeks to grow that sexual health program to help fund clinical development. The split filing does not describe the company's current products or revenue.
