Verrica Pharmaceuticals Inc. (Nasdaq: [VRCA](https://aibio.space/companies/verrica-pharmaceuticals/)) has reached an agreement in principle to settle the securities class action Gorlamari v. Verrica Pharmaceuticals Inc., et al. The company says in its [10-Q for the quarter ended June 30, 2026](https://www.sec.gov/Archives/edgar/data/1660334/000166033426000025/vrca-20260630.htm) that it signed a term sheet on July 10, 2026. The settlement is subject to final settlement documents, notice to the class and court approval, and none of those steps has a date in the filing.

The defendants are Verrica and "certain of our current and former officers and directors," in the 10-Q's words. The filing does not name those individuals. It says the court's September 3, 2024 ruling dismissed the claims against one of the two individual defendants and kept the claims against Verrica and the other.

## The case

Plaintiff Kranthi Gorlamari filed the putative class action on June 6, 2022 in the U.S. District Court for the Eastern District of Pennsylvania. The amended complaint of January 12, 2023 alleges that the defendants violated federal securities laws by failing to disclose manufacturing deficiencies at the facility where Verrica's contract manufacturer made bulk solution for YCANTH (VP-102), and that the deficiencies threatened regulatory approval for molluscum. It seeks unspecified damages for buyers of Verrica securities between May 19, 2021 and May 24, 2022. These are the plaintiff's allegations.

On January 12, 2024 the court let claims over statements made in May and June 2021 go forward and dismissed claims over all other statements. After the September 3, 2024 ruling, the court granted the plaintiff's motion for class certification on March 4, 2026.

## What Verrica has booked

Verrica recorded an accrued legal settlement liability of $4.0 million, which it calls the full amount of its estimated settlement obligation. It also recorded an insurance recovery asset of $2.3 million for amounts it considers probable of recovery under its directors' and officers' liability policies. The net effect, $1.7 million, went through operating expenses as legal settlement expense, net of insurance recovery.

The 10-Q says Verrica expects the primary insurer to pay its share directly into an escrow account set up for the settlement, and that Verrica expects to fund its own obligations from available cash.

## The derivative suits

Three stockholders filed derivative suits in the same court: Ivan S. Cohen on October 21, 2024, Paul Cannon on May 12, 2025 and Joseph Bonaccorso on June 26, 2025. Each names Verrica as a nominal defendant and brings claims on its behalf against "certain of our current and former directors and officers," again unnamed, for alleged securities law violations and breaches of fiduciary duty. They seek compensatory damages, restitution and punitive damages.

The court stayed the Cohen suit on December 16, 2024 and consolidated and stayed the Cohen and Cannon suits on July 21, 2025. The Bonaccorso plaintiff voluntarily dismissed that case without prejudice on July 29, 2025. On August 5, 2026 the court continued the stay of the consolidated action until the settlement approval process ends. The derivative actions share the class action's insurance policies and self-insured retention.

## Cash, going concern and the new loan

The settlement lands on a thin balance sheet. Verrica reports a net loss of $22.8 million for the six months ended June 30, 2026 and says operating activities used $18.4 million. It had cash of $11.2 million and an accumulated deficit of $347.7 million at June 30. The company says substantial doubt exists about its ability to continue as a going concern within one year of the issue date of the financial statements.

On August 3, 2026 Verrica signed a credit agreement with PD Joint Holdings, LLC Series 2016-B, an entity controlled by Paul B. Manning, a significant investor and the Chairman of the Board. The senior secured facility is up to $27.5 million: $12.5 million was available at closing and $15.0 million more depends on milestones and conditions. Interest is the greater of one-month SOFR, with a floor of 4.50%, plus a margin of 8.00% (stepping down to 7.50% or 7.00% on revenue milestones), and 12.50% a year. The loan is secured by substantially all of Verrica's assets. In November 2025 Verrica paid $35.0 million to settle its earlier OrbiMed credit agreement.
