VERAXA Biotech AG, a Zurich company, announced in a press release dated June 10, 2026 that its business combination with Voyager Acquisition Corp. has closed. Voyager is a special purpose acquisition company, or SPAC, which raises money in a public listing in order to merge with a private business. The release says the combined company's common stock and warrants were to begin trading on the Nasdaq Capital Market on June 11, 2026, under the symbols VRXA and VRXAW.

The release says Voyager and VERAXA Biotech AG merged with and into VERAXA Biotech Holding AG, which is to change its name to VERAXA Biotech AG. Voyager shareholders approved the transaction on March 12, 2026, and VERAXA shareholders had approved it earlier, on February 27, 2026. The two companies signed the business combination agreement on April 22, 2025.

The release says Voyager was sponsored by Cantor Fitzgerald & Co., Voyager Acquisition Sponsor Holdco LLC and Odeon Capital Group LLC. It does not say how many Voyager public shares were redeemed, or how much cash remained in the trust account after redemptions. Those figures decide how much money the combined company actually has.

## Financing

The company describes two financings. The first is a senior secured note with a principal amount of $27.5 million. The second is a securities purchase agreement for up to $50 million. The release says the proceeds will let VERAXA advance its BiTAC-TCE and BiTAC-ADC programs toward clinical development and through what it calls initial value inflection points. The release does not name the holder of the note or the buyers under the purchase agreement, and it names no placement agent or lender for either financing. It lists advisors to the merger itself: Anne Martina as sole M&A advisor to VERAXA, Duane Morris LLP as legal counsel to VERAXA, Winston & Strawn LLP as legal counsel to Voyager, and Cantor Fitzgerald as Voyager's capital markets advisor.

## The science and its limits

VERAXA is developing bispecific T-cell engagers, known as TCEs, and antibody-drug conjugates, or ADCs, for solid tumors. Both draw on its BiTAC platform, which the company describes as enabling conditionally activated, AND-gated therapies that target cancer cells. The release says the BiTAC-TCE candidate performed as intended in vitro and in vivo in initial data presented at the AACR 2026 Annual Meeting in San Diego, attacking cancer cells with both target molecules while sparing cells with only one. It says the data showed a superior safety profile and matching efficacy compared with a more traditional TCE, which it says points to the possibility of a significantly improved therapeutic index. The release gives no numbers for those comparisons.

Those are early laboratory and animal results. The release describes them as promising, but it presents no clinical data from patients. The programs are described as moving toward clinical development, so the release does not show any of them in patients yet. It also says the platform could contribute value in radioimmunoconjugates and antibody-oligonucleotide conjugates, but it gives no partnership details.

## The people and the sponsor

Christoph Antz, Ph.D., is chief executive officer. Oliver R. Baumann is chairman of the VERAXA board and chief executive of Xlife Sciences AG, and the release describes VERAXA as Xlife's first portfolio company to list on Nasdaq. Warren Hosseinion, M.D., chaired the Voyager board before the closing and now sits on the VERAXA board.

## What the release leaves out

The release gives no cash balance, net loss or runway for the combined company, and it does not give the terms of the note, such as its interest rate, maturity or covenants. It also does not say how the share purchase agreement is priced or in what tranches the $50 million would be paid.
