Veradermics, Incorporated (NYSE: [MANE](https://aibio.space/companies/veradermics/)) closed its initial public offering on February 5, 2026, according to its closing Form 8-K filed the same day. The offering was priced under a prospectus dated February 3, 2026, at $17.00 a share, and the common stock began trading on the New York Stock Exchange under the symbol MANE. The underwriters also received a 30-day option to buy 2,261,647 more shares. The company's quarterly report for the period ended June 30, 2026 says they exercised it in full.

The company's charter changed at the closing. The 8-K says Veradermics filed a fifth restated certificate of incorporation, effective on filing, which authorizes 200 million shares of common stock and 25 million shares of undesignated preferred stock. The restated certificate also removes references to the series of preferred stock that existed before the IPO and ends stockholders' ability to act by written consent in place of a meeting.

## The offering terms

Before expenses, the base offering of 15,077,647 shares was set to bring the company $238,377,599, or $15.81 a share after the underwriting discount of $1.19 a share, according to the prospectus. Because the underwriters took the full option, the prospectus's full-exercise figures apply: total underwriting discounts and commissions of $20,633,760 and total proceeds to the company before expenses of $274,134,238.

The prospectus says Eli Lilly and Company has indicated an interest in buying shares at the IPO price, in an amount up to 4.9% of the shares outstanding after the offering. The prospectus calls that indication non-binding and says Lilly's shares would not be subject to a lock-up with the underwriters. Wellington Management, which the prospectus calls a cornerstone investor, has indicated an interest in buying up to $30.0 million of shares at the IPO price, on the same terms.

## Banks and counsel

The prospectus cover names Jefferies, Leerink Partners, Citigroup and Cantor as the underwriters of the offering. The filings do not show which firm acted as lead or sole book-runner, and they name no counsel. The company's 8-K does not name any bank.

## The business behind the offering

Veradermics calls itself a dermatologist-founded, late clinical-stage company. Its initial focus is pattern hair loss, which the prospectus says affects about 50 million men and 30 million women in the United States. It says the United States has no FDA-approved oral treatment for women.

Its lead candidate, VDPHL01, is an oral, extended-release form of minoxidil. Minoxidil is an existing drug, and immediate-release oral minoxidil was first used to treat high blood pressure before doctors began using it for hair loss. The company's case rests on its own formulation work, which the prospectus describes as a novel and proprietary extended-release design.

## Where the money and the data stand

This story does not report a balance sheet or net loss as of the IPO. The company's second-quarter results release, dated August 11, 2026, gives later figures. Net loss was $23.5 million for the quarter, against $15.6 million a year earlier. Research and development expense was $18.6 million, against $14.3 million, and general and administrative expense was $10.9 million, against $1.7 million. The company ties that rise to payroll, stock-based compensation, headcount and commercial readiness costs.

Cash, cash equivalents and marketable securities were $819.9 million at June 30, 2026, a figure that includes net proceeds from a follow-on offering in the second quarter. The company said it raised approximately $472.0 million in gross proceeds in May 2026 through that offering and a concurrent private placement, and that its operating plans are funded into 2030.

The clinical record is still early. The release calls the Study '207' result in women positive, but that trial was open-label, so it had no placebo group. The registration-directed Study '306' in women is due to report topline data in the first half of 2027, and topline data from the confirmatory Phase 3 Study '304' in men, and 12-month data from Phase 2/3 Study '302', are due in the second half of 2026. The indications of interest from Eli Lilly and Wellington were not commitments, and the filings do not show whether either bought shares.
