FOXO Technologies Inc. (OTC: [FOXO](https://aibio.space/companies/foxo-technologies/)) said on July 29, 2026 that its subsidiary, Vector BioSource, Inc. ("Vector"), has entered into a definitive agreement to acquire four U.S.-based blood collection centers from Grifols Bio Supplies, Inc., a U.S. subsidiary of Grifols S.A. The company filed the release with the SEC on Form 8-K. The transaction is structured as a purchase of certain assets relating to the four collection centers.

## The terms

The agreement calls for an upfront payment in cash and a potential future earnout payment. The earnout is payable if the acquired centers reach certain EBITDA targets, as defined in the agreement, in any of the calendar years 2026, 2027 or 2028.

The company says the acquisition is intended to give Vector a proprietary source of biological products to sell to its customers, supplementing its existing sourcing model. Based on historical information and management's current estimates, FOXO expects the acquisition to add over $10 million in net revenues during the twelve months following closing. The release cautions that actual results may differ materially. The figure is a management estimate with no purchase price, margin or profit figure attached, so it says little about whether the centers make money.

Closing is expected in the third or fourth quarter of 2026. It is subject to customary conditions, including receipt of required FDA licensure and other regulatory authorizations.

## Vector's plans

Frank Dias, Jr., Chief Executive Officer of Vector, said: "This agreement marks an important milestone in the evolution of Vector." He said Vector is moving from a biospecimen sourcing company toward a more integrated biospecimen solutions company with its own blood collection capabilities.

Dias also said that obtaining the FDA registrations needed to operate the collection centers, and the FDA licensure needed to serve customers that require licensed collection facilities, would expand the markets Vector can serve. The release says Vector expects the new FDA licensure to be required, which it anticipates will further expand its accessible market.

Seamus Lagan, Chief Executive Officer of FOXO, said the company was excited to support Vector's expansion. He noted that FOXO acquired Vector in September 2025, and that the company had seen Vector as an attractive platform in the life science services sector.

## About FOXO and Vector

The release describes FOXO as owning and operating four subsidiaries. Rennova Community Health, Inc. owns and operates Scott County Community Hospital, Inc., which does business as Big South Fork Medical Center, a critical access hospital in East Tennessee. Myrtle Recovery Centers, Inc. operates a 30-bed behavioral health facility in East Tennessee. FOXO Labs, Inc. is a biotechnology company. Vector BioSource is an information, data and biospecimen sourcing provider serving the biotechnology, clinical research and pharmaceutical research industries.

## Financial position

The company's annual report for 2025, filed April 15, 2026, shows revenue of $16.4 million, compared with $4.1 million for 2024. Research and development expense was $182,498 in 2025, compared with $312,267 in 2024. The net loss was $12.4 million in both years.

Cash from operations was negative $3.9 million in 2025, compared with negative $2.8 million in 2024. Year-end cash and cash equivalents at the end of 2024 were $68,268.

Among the risks the release lists is the ability to obtain financing to fund the cash purchase price of the acquisition. The release does not state the amount of the upfront cash payment or name a lender or financial advisor, and it does not say that financing has been arranged. FOXO lost $12.4 million in 2025 and used $3.9 million of cash in operations, so it would be paying for the centers from a thin base.

## What comes next

The company expects closing in the third or fourth quarter of 2026. The release lists further regulatory requirements that could delay or prevent closing, including the new FDA licensure, CLIA certification and a waste-management permit. The earnout depends on the centers meeting EBITDA targets in 2026, 2027 or 2028.
