The 8-K is filed under Item 3.01, which covers delisting notices and failures to meet continued listing standards. It is signed by Steven Lo, the company's president and chief executive officer. The 8-K says the common stock is quoted on the OTCQX Best Market under the symbol VXRT, and that trading on Nasdaq was suspended at the open on July 8, 2025. ## How the panel conditions developed On August 27, 2025, the Nasdaq Hearings Panel granted Vaxart's request to continue its listing, subject to three conditions. The company had to receive shareholder approval for a reverse stock split on or before September 5, 2025. It had to complete the split on or before October 6, 2025. And it had to show compliance with Nasdaq's minimum bid price requirement. The 8-K calls these the Panel's Conditions. A reverse split combines existing shares into fewer shares to lift the per-share price, which is how a split bears on the minimum bid price requirement. On September 18, 2025, Vaxart withdrew its proposal to effect a reverse split ahead of its adjourned special meeting of stockholders. The next day, Nasdaq's General Counsel's office sent the letter stating that the securities will be delisted because of noncompliance with the Panel's Conditions. The 8-K does not give a reason for the withdrawal, and it does not say whether the company plans to bring a new proposal to shareholders. ## What the company is left with According to the 8-K, the shares have not traded on Nasdaq since July 8, 2025. OTCQX is a separate market, and the 8-K does not describe trading volume there. It does not say whether the company intends to apply for a return to Nasdaq. The filing does not report any new financing, cash balance or revenue. It is a notice of delisting and says nothing about how the company will fund its programs. ## The business behind the listing The company's annual report, filed on March 20, 2025, describes Vaxart as a clinical-stage biotechnology company focused on oral recombinant vaccines built on its Vector-Adjuvant-Antigen Standardized Technology, or VAAST, oral vaccine platform. Its prophylactic candidates target norovirus, COVID-19, influenza, and cervical cancer and dysplasia caused by human papillomavirus, or HPV. The annual report says the company believes its oral tablet candidates can produce mucosal responses as well as systemic and T cell responses. It describes norovirus as an infection for which no approved or marketed vaccine exists. It also says its oral Ad5 vector is designed to circumvent the complications of anti-Ad5 immunity that affect injected Ad5 vaccines. The annual report's pipeline table starts with its norovirus program. The 8-K does not discuss those programs or their timelines. ## The history of the company Vaxart was originally incorporated in California as West Coast Biologicals in March 2004. It changed its name to Vaxart, Inc. in July 2007, when it reincorporated in Delaware. On February 13, 2018, the company completed a reverse merger with Aviragen Therapeutics, Inc., and Aviragen was then renamed Vaxart, Inc. The company's headquarters is at 170 Harbor Way in South San Francisco. ## What the notice leaves out The 8-K gives no share count, share price or market value for the company. It does not say what the stock price was when trading was suspended or how much cash the company has. The 8-K reports that the shares are already quoted on the OTCQX Best Market, and it gives no date for the Nasdaq delisting itself or any next step by the company.
