Valion Bio, Inc. (Nasdaq: [VBIO](https://aibio.space/companies/valion-bio/)) announced on August 27, 2026 that its board of directors declared a 1-for-25 reverse stock split of its issued and outstanding common stock. The split becomes effective on August 31, 2026 at 12:01 AM Eastern Time. The company's common stock is expected to begin trading on a split-adjusted basis when markets open that day, under the current Nasdaq symbol VBIO. The release was filed as Exhibit 99.1 to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1787740/000168316826006742/valion_ex9901.htm).

## The split terms

Every 25 shares of common stock issued and outstanding, or held by the company as treasury stock, on the effective date will be reclassified into one new share. The new CUSIP number will be 918942202. The company's transfer agent, Odyssey Transfer and Trust Company, is acting as exchange agent. Stockholders who hold shares in book-entry form, or through a bank, broker or other nominee, do not need to take any action.

The release says proportionate adjustments will be made to the conversion and exercise prices and to the number of shares underlying the company's preferred stock, outstanding warrants, equity awards and options. The number of shares reserved under its amended and restated 2021 equity incentive plan will be adjusted as well.

No fractional shares will be issued. Any fractional share resulting from the split will be rounded up to the nearest whole share, and no stockholder will receive cash in lieu of fractional shares. The company says each stockholder's percentage ownership and proportional voting power will remain materially unchanged, except for changes that result from that rounding.

## Why the company is doing it

The release says the purpose of the split is to bring the company into compliance with the minimum bid price requirement for continued listing on the Nasdaq Capital Market. Nasdaq sent the company a notification letter on March 19, 2026. The letter said that because the closing bid price had been below $1.00 per share for 30 consecutive trading days, the company was not in compliance with the minimum bid price requirement.

Under Listing Rule 5810(c)(3)(A), the company received 180 calendar days, or until September 15, 2026, to regain compliance. The stockholders approved the reverse split at a special meeting held on August 14, 2026. The company said: "Although no guarantees can be offered, the Company believes that this reverse stock split will allow it to regain compliance with the Nasdaq continued listing requirements and will enable the Company to maintain its Nasdaq listing."

## The company's financial position

The company's SEC financial data show the following. Valion Bio reported revenue of $780,000 for 2024. Its net loss was $8.9 million for 2025, against $5.7 million for 2024. Cash used in operations was $7.0 million for 2025, compared with $5.7 million for 2024. Research and development expense was $3.1 million for 2025, compared with $1.3 million for 2024. Cash and cash equivalents were $2.0 million at the end of 2024. At June 30, 2026, cash and cash equivalents were $2.1 million, according to the quarterly report.

## What the split does not fix

A reverse split changes the share count, not the business. The stock had been under $1.00 for 30 consecutive trading days when Nasdaq wrote in March, and the split takes effect on August 31, 2026, with the compliance deadline set for September 15, 2026. The company itself says no guarantees can be offered. Its own list of risk factors names the price at which the stock will trade after the split, continued Nasdaq listing, its financial condition, and dilution from the rounding up of fractional shares. Cash and cash equivalents of $2.1 million at June 30, 2026 compare with $7.0 million of cash used in operations in 2025.
