UroGen Pharma Ltd., which trades on Nasdaq as URGN, reported in an 8-K dated August 20, 2026 that its wholly owned subsidiary, UroGen Pharma, Inc., signed an Option and Research License Agreement with IntraGel Therapeutics, Ltd., an Israeli company, on August 18, 2026. The filing was made under Item 8.01, Other Events, rather than as a material definitive agreement. UroGen is incorporated in Israel and gives its principal executive office as Princeton, New Jersey.

## What the option gives UroGen

Under the agreement, UroGen's U.S. subsidiary received an exclusive option to obtain an exclusive, worldwide license to develop and commercialize IntraGel's TumoCure product for advanced head and neck cancer. TumoCure uses IntraGel's SRGel platform, a biodegradable hydrogel sustained-release delivery system. The subsidiary also received options on exclusive worldwide licenses for additional products that combine the SRGel platform with compounds UroGen designates, and a non-exclusive license to research and evaluate the platform.

The 8-K does not state an option fee, an exercise deadline, royalty terms or the stage of TumoCure's development. It cites no clinical data for the product, so readers have no evidence on efficacy or safety from this filing.

## The equity investment

On the same date, August 18, 2026, the parties entered into a securities purchase agreement under which UroGen agreed to invest up to $7,000,000 in IntraGel's equity securities. The 8-K does not give the price per share, the amount to be paid at signing or any schedule for later payments. The filing names no bank, placement agent or financial advisor for the investment, and no counsel to either party. The 8-K describes the investment as made in connection with the option agreement.

## Why a head and neck program is a new direction

UroGen's annual report on Form 10-K, filed on March 2, 2026, describes the company as a biotechnology business focused on urothelial and specialty cancers. Its RTGel reverse-thermal hydrogel is the basis of two approved products, Jelmyto (mitomycin) for pyelocalyceal solution and Zusduri (mitomycin) for intravesical solution. These treat low-grade upper tract urothelial cancer and recurrent low-grade intermediate risk non-muscle invasive bladder cancer. The 10-K says RTGel extends the dwell time of mitomycin in the upper urinary tract to approximately six hours, against about five minutes for the standard aqueous formulation.

The 10-K's business overview names UGN-501, formerly known as ICVB-1042, as an investigational oncolytic virus. The business overview does not list head and neck cancer among the company's focus areas. TumoCure is aimed at advanced head and neck cancer, a different tumor type from the urothelial cancers the 10-K describes, and the 8-K does not explain the strategic reason for the deal.

## Cash against the spending

The 10-K reports a net loss of $153.5 million for 2025, up from $126.9 million in 2024. Cash used in operations was $162.4 million in 2025, against $96.8 million in 2024. Research and development expense was $67.1 million in 2025, compared with $57.1 million a year earlier.

The second-quarter report on Form 10-Q, filed on August 5, 2026, showed cash and cash equivalents of $79.1 million at June 30, 2026, plus short-term investments of $30.2 million. The year-end 2025 balances were $110.7 million in cash and cash equivalents and $49.3 million in short-term investments. The 8-K does not say whether the $7,000,000 investment would come from existing cash.

The filing sets no date for the company's next step and says nothing about the outcome of the option.
