(OTC: [UMEW](https://aibio.space/companies/umeworld/)), formerly UMeWorld Limited, filed a Form 12b-25 notification of late filing with the SEC for its Form 10-Q covering the quarter ended December 31, 2025. The notice is dated February 2, 2026 and signed by Michael M. Lee, the company's president and chief executive officer. The principal office is in Miami, Florida. A Form 12b-25 tells the SEC that a periodic report cannot be filed on time without unreasonable effort or expense. It gives the company a short extension, and the company says it expects to file within the five-calendar-day period provided under Rule 12b-25. The company says it has filed all other periodic reports due in the preceding 12 months. It checked the box saying it expects a significant change in results for the quarter. ## The auditor The notice says the former independent registered public accounting firm, J&S Associate PLT, resigned on December 31, 2025. It says the resignation came under the firm's internal policy on engagement partner rotation, and that the policy was meant to avoid regulator questions about PCAOB compliance. The company says it is interviewing and evaluating several successor accounting firms. Because no new firm has been formally engaged, the required review of the interim financial statements for the period ended December 31, 2025 has not started. The notice gives no date for when a new auditor will be in place. ## The redomiciliation The company says it recently completed its redomiciliation from the British Virgin Islands to the State of Delaware, effective January 21, 2026. The move included a change of corporate name and a switch to U.S. domestic issuer reporting status. The company says the transition has placed significant demands on its internal accounting and administrative resources. The company announced the change in a January 21 release, when the stock began trading under the UMEW symbol on the OTC Markets. ## The expected revenue increase The notice says the company expects a significant increase in total revenue for the quarter compared with the quarter ended December 31, 2024. It attributes the growth mainly to the commercial scaling of its functional nutrition platform, DAGola, and to expansion into international markets, particularly Asia-Pacific. The company cannot yet estimate its net income or loss for the quarter, because the results have not been reviewed. The notice says the company will give a full quantitative discussion once a new auditor is engaged and the review is complete. For context, the annual report for the year ended September 30, 2025 shows total revenue of $2,222, against $941 for the prior year. That annual report also shows a net loss of $258,176 and cash used in operations of $113,946. The notes say those losses, a stockholders' deficit of $323,911 and reliance on outside financing raise substantial doubt about the company's ability to continue as a going concern. ## What the notice does not say The notice gives no revenue or loss figures for the quarter, and the annual report shows year-end cash and cash equivalents of $154,353 at September 30, 2025. It names no successor auditor and gives no timetable for one. It also does not explain how the company will fund operations while the review is delayed, or how it will handle its related-party balances. The annual figures show the company repaid $153,510 to related parties in 2025, while amounts due to related parties rose by $151,874 within operating activities.
