Ultragenyx Pharmaceutical agreed to transfer two rare pediatric disease priority review vouchers for a combined $413 million, according to two [8-K filings](https://www.sec.gov/Archives/edgar/data/1515673/000119312526416251/0001193125-26-416251-index.htm) in October. The buyers are not named in the filings.

The first voucher, earned with the Aug. 19 approval of the gene therapy Genglycos, is going for $210 million. The second, awarded with the [Sept. 17 approval of Fayuvi](https://www.sec.gov/Archives/edgar/data/1515673/000119312526421079/0001193125-26-421079-index.htm), is going for $203 million. Both are payable in cash at closing.

## The details

For the first sale, the company signed an asset purchase agreement on Oct. 6. The filing says the buyer will pay [$210 million](https://www.sec.gov/Archives/edgar/data/1515673/000119312526416251/0001193125-26-416251-index.htm) and that 20% of the gross proceeds go to the U.S. National Institutes of Health, under a 2018 patent license agreement. That share works out to $42 million, which leaves about $168 million for Ultragenyx before other costs.

For the second sale, signed Oct. 8, the buyer will pay [$203 million](https://www.sec.gov/Archives/edgar/data/1515673/000119312526421079/0001193125-26-421079-index.htm). The filing does not mention an NIH share for this voucher.

Both deals still need to clear the waiting period under the [Hart-Scott-Rodino Act](https://www.sec.gov/Archives/edgar/data/1515673/000119312526421079/0001193125-26-421079-index.htm) before they close. Ultragenyx said it will file the agreements with its annual report on Form 10-K for 2026.

## Context

A priority review voucher lets its holder ask for a faster FDA review of a future application. The FDA grants one to a company that wins approval for a rare pediatric disease drug, and the holder can use it or trade it. Sales are a common way for small and mid-sized drugmakers to turn an approval into cash.

Ultragenyx needs it. The company reported [$436 million](https://www.sec.gov/Archives/edgar/data/1515673/000119312526332802/0001193125-26-332802-index.htm) in cash, cash equivalents and marketable securities at June 30, and net cash used in operations of $97 million in the second quarter. Net loss that quarter was $92 million. In February it announced a [10% workforce cut](https://www.sec.gov/Archives/edgar/data/1515673/000119312526048738/0001193125-26-048738-index.htm) of about 130 people as part of a restructuring, and it has guided to profitability in 2027.

The cash picture changed in September. The company's Angelman syndrome drug failed a phase 3 trial, and shares fell more than 40% after hours on Sept. 2, [according to Fierce Biotech](https://fiercebiotech.com/biotech/ultragenyx-fails-phase-3-angelman-test-plots-significant-expenses-reduction). Management said it would define "significant expense reductions". The voucher sales arrive after that setback and give the company a larger cushion than its June balance showed.

## What it means for investors

Simple arithmetic puts the combined proceeds near $371 million after the NIH payment, compared with the [June 30 cash balance](https://www.sec.gov/Archives/edgar/data/1515673/000119312526332802/0001193125-26-332802-index.htm). That is a meaningful addition for a company that burned $97 million of operating cash in one quarter. It is not a profit, and it does not change the operating loss.

Two points are open. The deals have not closed, and antitrust clearance is routine but not automatic. And the filings do not say whether Ultragenyx will report the proceeds as revenue, as a gain, or in another line, so the effect on reported results in the fourth quarter is unknown.

The proceeds also change the company's choices. With the Angelman program failed and the [2027 expense target](https://www.sec.gov/Archives/edgar/data/1515673/000119312526332802/0001193125-26-332802-index.htm) in place, extra cash lowers the odds of needing a stock or debt raise soon. That is a reading of the numbers, not a company statement about financing plans.

## What to watch

Closing of both voucher sales, which depends on Hart-Scott-Rodino clearance. The filings give no closing date.

The company's next financial report, which will show the cash balance after the sales close, and any update to its expense plan after the Angelman result. The Dojolvi patent cases and the Fayuvi launch are the other near-term items.
