Trinity Biotech plc and certain of its subsidiaries entered into a Limited Waiver and Fourth Amendment to their Sixth Amended and Restated Credit Agreement and Guaranty, dated as of August 12, 2026, with Perceptive Credit Holdings III, L.P. The company announced the amendment on August 14, 2026 in a report on Form 6-K. The borrowers are Trinity Biotech, Inc., Clark Laboratories, Inc., Biopool U.S., Inc., Primus Corporation, Mardx Diagnostics, Inc. and Immco Diagnostics, Inc. Trinity Biotech plc and certain of its subsidiaries are guarantors.

The filing names no placement agent, underwriter or financial advisor, and it names no counsel.

## The amendment and its cost

The company says the amendment provides a total investment of approximately $7.0 million. That total is made up of approximately $2.5 million of new debt funding and approximately $4.5 million of capitalized interest. Capitalized interest is added to the loan balance rather than paid in cash, so most of the total is interest added to the debt. The exhibit list describes the money as coming from Perceptive Advisors.

The amendment is titled a limited waiver. The 6-K attaches it as Exhibit 99.2 and does not say which covenant it waives, for how long, or what the loan's interest rate and maturity are. Interim Chief Financial Officer Paul Murphy signed the 6-K.

## Listing and share count

The company said it received confirmation on August 7, 2026 that it had regained compliance with the Nasdaq minimum bid price requirement under Listing Rule 5450(a)(1). As of August 13, 2026, it had 487,879,340 ordinary shares outstanding, excluding treasury shares. Its American Depositary Shares trade on Nasdaq under the symbol TRIB, and each ADS represents 600 ordinary shares. Regaining compliance with the bid price rule does not change the terms of the loan or the company's cash position.

## The business

Trinity Biotech was incorporated in Ireland in 1992. The 20-F describes it as a biotechnology company focused on human diagnostics and diabetes management, including wearable biosensors. It acquired the biosensor assets of Waveform Technologies Inc. in 2024 and is developing a continuous glucose monitoring product, which the company says it is still optimizing for broad adoption. Its products are sold in about 100 countries through its own sales force and a network of distributors. The 20-F names Uni-Gold HIV as its principal product and says TrinScreen received World Health Organization approval in February 2022.

The operating subsidiaries that are borrowers include Clark Laboratories Inc in Jamestown, New York, Primus Corporation in Kansas City, and Immco Diagnostics Inc in Buffalo, and the group also has Trib Biosensors Inc in Wilsonville, Oregon. The company has moved manufacturing offshore. Upstream manufacturing of Uni-Gold HIV went to an outsourced offshore model in June 2025, and TrinScreen manufacturing followed in September 2025, after WHO regulatory approval. The final phase of the Uni-Gold transition began in the first quarter of 2026. Trinity says the transitions are intended to enhance supply-chain resilience and scalability and to improve gross margins. The business overview gives no margin results, so that benefit is not yet shown.

## Recent finances

The full-year figures below are for the year ended December 31, 2024. Revenue was $61.6 million in 2024, against $56.8 million in 2023. The net loss was $31.2 million in 2024, against $36.9 million in 2023. Cash used in operations fell to $4.2 million in 2024 from $11.6 million in 2023. Research and development expense was $4.5 million in 2024 and $4.4 million in 2023.

Year-end cash and cash equivalents were $5.2 million at the end of 2024, against $3.7 million a year earlier. The $7.0 million total investment is larger than that year-end 2024 cash balance, and most of it is interest added to the loan. The 6-K does not give the loan balance.
