Tickers [TRAW](https://aibio.space/companies/traws-pharma/)

Traws Pharma paid $2,350,000 in cash, in full, for assets tied to a pyrrolidine antiviral compound held by Viriom. The seller's executive chairman is Traws's own chief operating officer, and its 2024 annual report carries a going-concern warning.

Traws Pharma, Inc. (Nasdaq: [TRAW](https://aibio.space/companies/traws-pharma/)) bought assets tied to a pyrrolidine antiviral compound from Viriom, Inc. for $2,350,000 in cash. The two companies signed an asset purchase agreement on September 9, 2025, and the company says it paid the full price to Viriom that day. Traws disclosed the deal in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1130598/000110465925089564/tm2526017d1_8k.htm) filed September 12, 2025.

## The related-party tie

The 8-K says Nikolay Savchuk, Traws's chief operating officer, serves as executive chairman of Viriom. It says Dr. Savchuk has investment control of Viriom and holds a significant number of its common shares indirectly, through a limited liability company of which he is managing member and equity holder. Dr. Robert R. Redfield, M.D., Traws's chief medical officer, is a strategic adviser and a member of Viriom's board.

Because people on both sides of the deal hold roles at each company, the transaction is a related-party deal. Traws says its audit committee and board each approved the agreement, and that they found the price fair and reasonable and the deal in the company's best interest. The filing does not say what valuation or outside opinion supported that finding. Interim Chief Executive Officer Iain Dukes signed the 8-K.

## What Traws bought

The purchased assets include intellectual property and other assets related to the compound, Viriom's program pipeline for it, and any pharmaceutical product containing or comprising it. The 8-K lists patents and patent applications, related intellectual property, a third-party license agreement and its rights and obligations, regulatory filings and correspondence, and certain other related assets.

The [asset purchase agreement](https://www.sec.gov/Archives/edgar/data/1130598/000110465925089564/tm2526017d1_ex10-1.htm), filed as Exhibit 10.1, defines the compound as a pyrrolidine antiviral compound disclosed in the purchased assets. It names Traws Pharma, Inc., a Delaware corporation, as buyer and Viriom, Inc., also a Delaware corporation, as seller. The agreement contains customary representations, warranties and covenants, along with customary indemnification by Viriom in favor of Traws. The 8-K itself spells the seller's name as "Virom" once, while the agreement uses Viriom.

The filing does not say how far the compound has progressed, what its trial results are, or what Traws plans to spend on it. The 8-K does not give a development timeline.

## The money behind the purchase

The purchase is a small cash outflow for a company whose annual report describes a serious financial position. The 2024 10-K says net cash used in operating activities was $29.8 million for 2024, and that the company had a net loss of $166.5 million for the year. It reports cash and cash equivalents of $21.3 million as of December 31, 2024, and current liabilities of $11.5 million.

The same report says that, based on current projections, the company does not have sufficient cash to support its operations for more than one year after its financial statements are issued, and it includes "our ability to continue as a going concern" among the risks. Traws paid $2,350,000 in cash in September 2025, while the year-end balance reported in that 10-K was $21.3 million.

The company, then Onconova Therapeutics, Inc., merged on April 1, 2024 with Trawsfynydd Therapeutics, Inc., a private developer of antivirals. The 10-K lists tivoxavir marboxil for bird flu and seasonal influenza and ratutrelvir for COVID among its programs. The 8-K does not say whether the purchased compound is related to either. The 10-K also reports an accumulated deficit of $649.2 million as of December 31, 2024.

## The open question

Traws bought a compound from a company whose executive chairman is Traws's own chief operating officer, at a price its board found fair, while the company's own 10-K warns that it may not be able to continue. The filing does not say whether an independent valuation of the assets was obtained.
