## The purchase

Traws Pharma, Inc. and Viriom, Inc. signed an Asset Purchase Agreement on September 9, 2025. Traws bought the assets for $2,350,000 in cash, and the 8-K filed September 12, 2025 says the full price was paid on September 9, 2025. The assets include intellectual property and other assets tied to a pyrrolidine antiviral compound, Viriom's program pipeline built around that compound, any product containing it, and certain patents and patent applications.

The purchase also covers a third-party license agreement and its rights and obligations, regulatory filings and correspondence for the compound, and materials Viriom controls for the program. The agreement contains customary representations, warranties and covenants, and Viriom gives customary indemnification to Traws. The exhibit omits certain annexes, schedules and exhibits under Item 601(a)(5) of Regulation S-K.

## The related parties

Nikolay Savchuk, Traws's chief operating officer, serves as executive chairman of Viriom. The 8-K says he has investment control of Viriom and indirectly holds a significant number of its shares through a limited liability company he manages. Dr. Robert R. Redfield, the company's chief medical officer, is a strategic advisor to Viriom and a member of its board.

A related-party transaction is one between a company and people or businesses connected to its officers or directors. Traws's audit committee and board of directors reviewed and approved the purchase agreement, including its related-party nature. They determined it was in the company's best interest and that the purchase price was fair and reasonable. The 8-K gives no valuation of the assets and does not refer to a fairness opinion from an outside adviser. The only support for the price is the board's determination.

## What the assets are

The 8-K does not say what the pyrrolidine compound is meant to treat, what stage of development it has reached, or what the third-party license covers. It also does not say how Traws funded the $2,350,000 payment. The filing names the seller as Virom, Inc. in one passage and as Viriom elsewhere, and it calls the agreement a Purchase Amendment in another. The filing appears to refer to one counterparty under both names.

Traws's own pipeline is built on antivirals, and the compound is an antiviral. The company's annual report for 2024 describes Traws as a clinical-stage biopharmaceutical company developing novel therapies for respiratory viral diseases. It says the company completed a merger with Trawsfynydd Therapeutics on April 1, 2024, when it was known as Onconova Therapeutics, and that the company's focus expanded from cancer to include respiratory viral diseases.

The report lists four clinical programs. Tivoxavir marboxil is an oral, small molecule cap-dependent endonuclease inhibitor for bird flu and seasonal influenza. Ratutrelvir inhibits the main protease of the virus that causes COVID-19. Narazaciclib is a multi-targeted kinase inhibitor for solid tumors and hematological malignancies. Rigosertib is for various cancers. The annual report describes tivoxavir as having been tested in healthy volunteers in a Russian study with one serious adverse event and in an Australian Phase 1 study with mild headaches as the only possibly related events. The 8-K does not say whether the Viriom compound fits with any of these programs.

## What the filing leaves open

The 8-K, signed by Iain Dukes as interim Chief Executive Officer, does not describe any milestones or royalties tied to the compound, and does not say whether Traws plans to start a clinical program on it. It names no financial adviser to either side.
