Trafalgar Asset Management, LLC bought all of the outstanding Series A and Series B Preferred Stock of The Greater Cannabis Company, Inc. on June 29, 2026, according to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1695473/000149315226032191/form8-k.htm) filed with the Securities and Exchange Commission on July 6, 2026. The filing cover names the registrant as The Greater Cannabis Company, Inc., while the company's financial data now uses the name Trafalgar International, Inc. The buyer is owned and controlled by Porfirio Sanchez Talavera, and the filing says it now holds about 96.62% of the company's voting power. That gives the buyer control over the election of directors and most matters that need stockholder approval.

## The terms

The filing gives the share counts behind the purchase. Trafalgar Asset Management bought 7,628,665 shares of Series A Preferred Stock, which the filing describes as 100% of the issued and outstanding shares of that series, and 1,000 shares of Series B Preferred Stock, also described as 100% of that series. Each Series A share is entitled to 1.76 votes, and the Series B shares together are entitled to 51% of all votes. The voting percentage is based on 994,379 shares of common stock outstanding as of June 29, 2026.

On the same day, certain indebtedness of the company was compromised, settled, canceled, released and extinguished under Debt Cancellation and Release Agreements with the creditors involved. The filing does not name those creditors or state the amounts canceled in its own text. It says the material terms are set out in the agreements, which are filed as Exhibits 10.3 and 10.4. The purchase and the debt cancellations were completed under an escrow agreement among the parties and John D. Thomas, P.C., as escrow agent. The Series A and Series B share purchase agreements are filed as Exhibits 10.1 and 10.2, and the filing says the consideration paid under them is set out in those agreements.

## Management changes

Porfirio Sanchez Talavera was appointed chief executive officer, chairman of the board and a member of the board on June 29, 2026. Aitan Zacharin, the former president, chief executive officer and treasurer, resigned from all of his officer positions effective immediately upon that appointment. He agreed to remain a director only until the ten day period required under Rule 14f-1 expires. After that period, Mr. Sanchez Talavera will be the sole director. The filing says Mr. Zacharin's resignation was not the result of any disagreement with the company about its operations, policies or practices.

The filing describes Mr. Zacharin as a founder of several companies. It names Fuse Science, a biotechnology company he co-founded in 2012, which according to the filing raised over $20 million to commercialize its products. It also says he has advised early and mid stage companies on development, capitalization and turnaround strategies, and has experience in reverse mergers and debt financing.

## Financial position

The financial data tied to the company's annual report show a net income (loss) of negative $331,612 for the fiscal year ended December 31, 2025, compared with negative $179,041 for 2024. Cash from operations was negative $60,153 in 2025 and negative $109,491 in 2024. The sources available at the announcement date give no cash balance and no revenue figure, against cash used in operations of $60,153 for 2025.

## What comes next

The filing sets no date for any step after the ten day period under Rule 14f-1 ends. Minority holders of the 994,379 common shares have little say, since the buyer holds about 96.62% of the votes. The filing does not name the creditors, the amounts canceled or the price paid for the preferred stock, so readers cannot tell what the buyer gave up or what the company still owes. It states that the controlling shareholder possesses voting control and may unilaterally determine the election of directors and substantially all matters requiring stockholder approval. The filing is made under Items 1.01, 5.01 and 5.02, and it lists the purchase, escrow and debt agreements as its exhibits.
