On May 12, 2026, TherapeuticsMD, Inc. (NASDAQ: [TXMD](https://aibio.space/companies/therapeuticsmd/)) reported financial results for the three months ended March 31, 2026, in a press release attached to a Form 8-K. The company reported net income from continuing operations of $103 thousand for the quarter, compared with a net loss of $636 thousand for the first quarter of 2025. Cash and cash equivalents totaled $8.4 million as of March 31, 2026.

## The quarter

License revenue from continuing operations was $724 thousand, recorded primarily from the Mayne License Agreement. That was an increase of $331 thousand from $393 thousand in license revenue for the first quarter of 2025. Total operating expenses from continuing operations were $1,447 thousand, a decrease of $227 thousand, or 13.6%, from $1,674 thousand a year earlier. According to the release, the decrease was primarily attributable to the absence of a write-off expense recognized in 2025, as well as lower professional fees and share-based compensation costs.

The company describes itself as a pharmaceutical royalty company. It was previously a women's healthcare company. In December 2022 it changed its business to become a royalty company that primarily collects royalties from its licensees. It is no longer engaging in research and development or commercial operations.

## The licensed products and the royalty base

The company's annual report on Form 10-K refers to its hormone therapy pharmaceutical products, IMVEXXY and BIJUVA. The company has licensing and supply agreements with Knight and Theramex to commercialize both products in non-U.S. markets.

The 10-K also describes patent litigation over IMVEXXY. In June 2024, Mayne Pharma received a Paragraph IV certification notice letter regarding an abbreviated new drug application (ANDA) submitted to the FDA by Sun Pharma Inc. The ANDA seeks approval to commercially manufacture, use or sell a generic version of IMVEXXY, and it alleges that the IMVEXXY patents are invalid, unenforceable, and/or will not be infringed. As of December 31, 2025, the litigation remains ongoing and has progressed to claim construction. The filing states that an adverse ruling could trigger loss of exclusivity and reduce the company's royalty rate under the Mayne License Agreement earlier than expected.

The company says it cannot predict what other ANDAs Teva or other generic competitors could file, and generics could cut royalty revenue significantly.

## Staffing and dependence on outside parties

The 10-K states that the company has one employee and uses a limited number of external consultants to run its operations. It does not maintain key person insurance. If it cannot keep its current consultants or recruit new ones, the filing says, its ability to operate and to receive potential royalties would be negatively affected.

## Strategic alternatives

The company continues to evaluate a variety of strategic alternatives that may include, but are not limited to, an acquisition, merger, other business combination, sale of assets, or other strategic transactions involving the company. The release states that there can be no assurance of a transaction, of a successful outcome, or of the form or timing of any such outcome. The company has not set a timetable for completing the process and does not intend to disclose further developments unless it determines that disclosure is appropriate or necessary.

## Financial data in the SEC filings

The structured financial data attached to the company's SEC filings report revenue of $1.8 million for the fiscal year ended December 31, 2024. They report a net loss of $569,000 for fiscal 2025 and a net loss of $2.2 million for fiscal 2024, both in a 10-K/A filed April 1, 2026. The same data also list year-end cash and cash equivalents of $5.1 million for fiscal 2024.

## How thin the profit is

The $103 thousand of net income rests on $724 thousand of license revenue and on lower costs, helped by a 2025 write-off that did not recur. The company has one employee, is not developing anything and depends on its licensees and on patents that a generic maker is challenging. Its forward-looking statements list the ability to remain listed on Nasdaq and to continue as a going concern among the risks. The release sets no date for completing the strategic review and names Marlan D. Walker, Chief Executive Officer, as the company contact.
