Teva said on Aug. 28 that it has agreed to act as the [stalking horse bidder for assets of BioXcel Therapeutics](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/) in a court-supervised sale under Section 363 of Chapter 11 of the U.S. Bankruptcy Code. The main asset is BioXcel's dexmedetomidine sublingual film, sold as Igalmi and also known as BXCL501.

Teva offered [$57.5 million upfront and up to $67.5 million in contingent payments](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/). The deal still needs bankruptcy court approval and could be topped by higher bids.

## The details

As stalking horse, Teva sets the opening bid that other buyers must beat. If another bidder wins, Teva would be [entitled to a break-up fee and expense reimbursement](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/). Teva is buying selected assets, not BioXcel as a whole, and would get worldwide rights.

The contingent payments include time-based amounts tied to [when the FDA approves the pending application](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/), with adjustments for delays, plus payments for reaching sales milestones.

Igalmi is already approved for acute agitation linked to schizophrenia or bipolar I or II disorder in adults, given under the supervision of a health care provider. BioXcel has asked the FDA to approve the film for [at-home use in the same patients](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/). The FDA's target action date is Nov. 14, 2026. If approved, it could become the first FDA-approved at-home treatment for this kind of agitation, according to Teva.

BioXcel filed for Chapter 11 protection as part of the process. BioSpace reported that the company secured [$19 million in debtor-in-possession financing](https://www.biospace.com/business/bioxcel-files-for-bankruptcy-will-sell-assets-to-teva-for-up-to-125m) to keep operating during the case, and that Igalmi remains available to patients. "Following a comprehensive review of strategic alternatives, we believe this option provides a clear framework to pursue a value-maximizing transaction," BioXcel chief executive Vimal Mehta said, [as quoted by BioSpace](https://www.biospace.com/business/bioxcel-files-for-bankruptcy-will-sell-assets-to-teva-for-up-to-125m).

## Context

This is Teva's second neuroscience deal in four months. In April it agreed to acquire Emalex Biosciences for [$700 million in cash, plus up to $200 million in commercial milestones](https://www.tevapharm.com/news-and-media/latest-news/teva-acquire-emalex-biosciences/) and royalties, to get ecopipam for pediatric Tourette syndrome. That purchase led to [$726 million of expenses in the second quarter](https://www.sec.gov/Archives/edgar/data/818686/000117184326004974/exh_991.htm), which pushed Teva to a GAAP loss for the period.

The two deals fit Teva's psychiatry business. It already sells Uzedy, a long-acting risperidone for schizophrenia, and it was awaiting FDA action on a long-acting olanzapine injection at the time of the bid. "This opportunity strengthens our neuroscience portfolio," Evan Lippman, Teva's head of business development, [said in the release](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/).

## What it means for investors

The price is small for a company with [$16.5 billion to $16.85 billion of expected 2026 revenue](https://www.sec.gov/Archives/edgar/data/818686/000117184326004974/exh_991.htm). Much of the value depends on the FDA decision. If at-home use is approved, Teva gets a product with a new setting of care that it can market through its existing psychiatry sales force. If the FDA says no or delays, the time-based payments shrink, which limits Teva's downside.

The main risks are the auction and the label. A rival bidder could take the asset, leaving Teva with only the break-up fee. Igalmi's own safety information warns of [low blood pressure and slow heart rate](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/), which may be harder to manage when a patient takes the drug at home without supervision.

## What to watch

The bankruptcy auction and court approval come first; Teva did not give their dates. The [FDA action date for at-home use is Nov. 14, 2026](https://www.tevapharm.com/news-and-media/latest-news/tevaannouncesproposedacquisition-ofanovel-neuroscienceproductreinforcing-disciplined-business-deve/). Teva reports [third-quarter results on Nov. 3](https://www.tevapharm.com/news-and-media/latest-news/teva-to-host-conference-call-to-discuss-third-quarter-2026-financial-results-on-november-3-2026-at-8-a.m).
