## The notice

Tempest Therapeutics, Inc. (Nasdaq: [TPST](https://aibio.space/companies/tempest-therapeutics/)) said in a Form 8-K dated April 28, 2025 that it received a formal notification from The Nasdaq Stock Market LLC on April 24, 2025. The letter confirms that the company has regained compliance with Nasdaq Listing Rule 5550(a)(2), which requires listed companies to maintain a minimum bid price of at least $1.00 per share. The filing was made under Item 8.01 (Other Events) and was signed by Stephen Brady, the company's President and Chief Executive Officer.

The 8-K is short. It does not say when the stock fell below $1.00, how long it stayed there, or what the price was when compliance was restored. It does not say whether a reverse stock split or any other step was taken. The company is a Delaware corporation based in Brisbane, California, and its common stock trades under the symbol TPST.

## What the company says it is building

Tempest describes itself in its annual report as a clinical-stage biotechnology company moving towards late-stage development with a portfolio of targeted and immune-mediated cancer candidates. It says its lead program, amezalpat (previously known as TPST-1120), is poised to begin a pivotal study in first-line hepatocellular carcinoma, or HCC. A footnote in the pipeline chart says the Phase 3 timelines for amezalpat are subject to funding.

Amezalpat is an oral, small molecule, selective antagonist of PPARα. In June 2024, the company reported survival data from an ongoing global randomized Phase 1b/2 study. It said amezalpat added a six-month improvement in median overall survival, with a hazard ratio of 0.65, when combined with atezolizumab and bevacizumab, compared with atezolizumab and bevacizumab alone. The company says the benefit held in key subgroups, including patients with PD-L1 negative disease and β-catenin mutated disease. This was a Phase 1b/2 study rather than a pivotal trial, and the figures are the company's own.

## Regulatory steps

In August 2024, the company announced that it had completed an end-of-Phase 2 meeting with the U.S. Food and Drug Administration. It says the agency gave positive feedback on a pivotal Phase 3 design that closely mirrors the randomized Phase 2 study, with overall survival as the primary endpoint. The FDA also agreed to a pre-specified early efficacy analysis, which, if met, would potentially cut the time to primary read-out by up to eight months. The pipeline chart describes that analysis as a per-protocol planned analysis at 70% of events.

In November 2024 the company received a "Study May Proceed" letter from the FDA authorizing the pivotal Phase 3 trial. The FDA granted Orphan Drug Designation to amezalpat for HCC in January 2025 and Fast Track Designation in February 2025. The company says these designations bring potential regulatory benefits, including more engagement with the FDA, eligibility for accelerated approval and priority review, and potential market exclusivity upon approval. It says it is also working with the European Medicines Agency and is actively preparing to start the Phase 3 study.

## The second program

TPST-1495 is a small-molecule dual antagonist of the EP2 and EP4 receptors of prostaglandin E2. The company plans to test it in Familial Adenomatous Polyposis, a rare genetic disorder that raises the risk of gastrointestinal cancers and for which it says there are no approved systemic therapies. It cites positive preclinical data in a mouse model.

In March 2025, the Cancer Prevention Clinical Trials Network received a "Study May Proceed" letter from the FDA for a National Cancer Institute-funded Phase 2 trial of TPST-1495 in patients with that disorder. The network runs the trial, and the NCI's Division of Cancer Prevention supports it financially. The company expects the study to begin in 2025.

The company also says it plans to keep identifying new targets through its discovery research team, and to look for in-licensing and acquisition opportunities. It describes its strategy as advancing amezalpat into Phase 3, exploring TPST-1495 in Phase 2 with the network in 2025, and building the pipeline. The 8-K does not tie the listing notice to any financing.
