## The financing

Telomir Pharmaceuticals, Inc. (Nasdaq: [TELO](https://aibio.space/companies/telomir-pharmaceuticals/)) announced on October 6, 2026 an approximately $5.6 million private investment in public equity, known as a PIPE. The company issued 4,843,300 common shares at $1.16 each. The price is a 5 percent discount to the applicable 10-day volume-weighted average price, or VWAP.

Investors bought at a fixed price, with no warrants, convertible securities, or variable-price or reset features. Gross proceeds are expected to be about $5.6 million, before placement agent fees and other offering expenses. Alexander Capital, L.P. acted as placement agent. The release names no bank, underwriter or counsel for the financing.

The round includes an additional $1.0 million from John Paul DeJoria, an existing shareholder, who most recently reported beneficial ownership of about 3.55 million shares, or about 5.0 percent of the outstanding common stock. Other existing shareholders and new investors also took part. Telomir has agreed to file a registration statement covering the resale of the shares.

## The price

The $1.16 price compares with a $7.00 per share initial public offering in February 2024, which raised about $7.0 million in gross proceeds. The 10-K, filed March 17, 2026, reports IPO net proceeds of $5.8 million after an underwriting commission and other expenses totaling $1.2 million. The new price is far below that level. During 2025 the company sold 3,218,300 shares under an at-the-market agreement with Rodman & Renshaw LLC at a weighted average price of $2.12, for $6,553,209 net of costs. In May 2025 an entity affiliated with its largest shareholder, The Bayshore Trust, agreed to buy restricted shares at $3.00 each with no warrants. The 10-K also lists 2,814,057 warrants outstanding at a weighted average exercise price of $4.97, all above the $1.16 price.

The release does not explain the choice of price and does not give the number of shares outstanding after the PIPE.

## The company's losses

The 10-K reports a net loss of $10.4 million for 2025, against $16.5 million for 2024. Cash used in operations was $3.7 million in 2025, down from $5.1 million. Research and development expense was $2.4 million in 2025, up from $2.2 million in 2024.

Cash and cash equivalents were $1.3 million at year-end 2024 and $754,323 at June 30, 2025, according to quarterly reports. The release gives no cash balance for a date closer to the PIPE. The gross proceeds of about $5.6 million are less than the 2025 net loss of $10.4 million.

## The lead drug

Telomir-Zn is an oral small molecule that the company describes as a potentially first-in-class epigenetic therapy. The FDA has cleared the company's Investigational New Drug application for a first-in-human Phase 1/2 trial in advanced or metastatic triple-negative breast cancer. The trial is multicenter and open-label. The Phase 1 part is designed to assess safety, tolerability, dose selection and pharmacodynamic biomarkers, and the Phase 2 expansion is designed to test efficacy.

The release's supporting evidence is preclinical. It says Telomir-Zn inhibited several iron-dependent histone demethylases in preclinical studies, and it describes the drug's potential to restore epigenetic regulation. The release presents no human data. The release does not compare the drug with existing treatments for that disease.

## The use of proceeds

The company plans to use the net proceeds mainly to support clinical development of Telomir-Zn, including the Phase 1/2 program, and the rest for working capital and general corporate purposes. Chief executive Erez Aminov said the company has been deliberate about when it accesses the capital markets and intends to raise money around milestones. The release does not state how long the proceeds will last, or how much of the $5.6 million will go to the trial.

## What comes next

The release gives no date for the resale registration statement or for the first human trial results.
