## The PIPE

Tectonic Therapeutic, Inc. (Nasdaq: [TECX](https://aibio.space/companies/tectonic-therapeutic/)) said on February 3, 2025 that it signed a securities purchase agreement for a private investment in public equity, known as a PIPE, expected to bring gross proceeds of about $185.0 million. The company will issue 3,689,465 common shares at $50.00 each to fund investors and $54.14 each to individual investors who are officers or directors. The PIPE was expected to close on February 5, 2025, subject to customary conditions.

Investors include Adage Capital Partners LP, Ally Bridge Group, Deep Track Capital, EcoR1 Capital, funds managed by Farallon Capital Management, L.L.C., Soleus Capital, StemPoint Capital LP, TAS Partners and Woodline Partners LP.

TD Cowen, Leerink Partners, Piper Sandler and Wells Fargo Securities acted as placement agents. The release names no counsel for the company or for the agents. The shares are unregistered, and Tectonic has agreed to register their resale with the Securities and Exchange Commission. The proceeds are for clinical development of TX45 and TX2100, discovery platform work, working capital and general corporate purposes.

## The cash before the PIPE

The January 30 presentation put cash at about $159 million as of September 30, 2024, which it said would provide a cash runway into mid-2027. It also describes the June 2024 reverse merger with AVROBIO and a concurrent private placement of about $131 million.

Neither document gives an updated runway that includes the $185.0 million gross from the PIPE.

## The lead drug and its data

TX45 is a human relaxin-2-Fc fusion protein that the company says has a potential half-life of two to three weeks. It is being developed for pulmonary hypertension linked to heart failure with preserved ejection fraction, known as PH-HFpEF. The Phase 1b Part A trial enrolled 19 subjects, and efficacy data are available for 16. It was a single-dose, open-label study with no placebo group.

The presentation reports a mean fall in pulmonary capillary wedge pressure of 2.9 mm Hg, or 17.9 percent, across all 16 participants. The 95 percent confidence interval runs from a 9.8 percent to a 26.1 percent reduction. For pulmonary vascular resistance, the overall reduction was 12.3 percent, and its confidence interval runs from a 38.3 percent reduction to a 13.7 percent increase, so it includes no effect. The 32.0 percent fall in pulmonary vascular resistance is found only in the subgroup of nine patients with a baseline value of 2 Woods Units or more, which the company treats as combined pre- and post-capillary pulmonary hypertension.

The company had set predefined targets of about 15 to 20 percent reductions in PCWP in the overall group and in PVR in the combined group, and it says the results achieved or exceeded them. The results are a small, uncontrolled dataset with no comparator, and the strongest PVR figures come from subgroups of nine and five patients.

Safety data, available on 16 patients and 15 of them through the full 43-day follow-up, showed nine treatment-emergent adverse events in seven patients, with no serious or severe events and no discontinuations. Four patients reported brief fatigue. The presentation also reports a transient, asymptomatic drop in blood pressure of 5 to 12 mm Hg after dosing that resolved at later visits. The Phase 1b data pooled three dose levels, with 3, 7 and 6 patients in each cohort.

## The Phase 2 plan

The presentation describes the APEX Phase 2 trial as a global, double-blind, randomized, placebo-controlled study in PH-HFpEF, enriched for combined pre- and post-capillary pulmonary hypertension. It plans 60 patients on each of two TX45 dosing schedules and 60 on placebo, with a 24-week treatment period and a primary endpoint of change in PVR. Results are expected in 2026. The presentation notes that AstraZeneca is pursuing a relaxin program in Group 2 pulmonary hypertension. Part B of the Phase 1b study, in heart failure with reduced ejection fraction, was expected to report in the second half of 2025.

## What comes next

The dated items are the PIPE closing on February 5, 2025, the Part B readout in the second half of 2025, the APEX results in 2026, and the TX2100 Phase 1 start in the fourth quarter of 2025 or first quarter of 2026.
