## The vote

Tango Therapeutics, Inc. ([TNGX](https://aibio.space/companies/tango-therapeutics/)) stockholders approved an amendment to the company's Second Amended and Restated Certificate of Incorporation at the 2025 annual meeting on June 5, 2025. It raises the number of authorized shares of common stock from 200,000,000 to 400,000,000. The company filed the Certificate of Amendment with the Secretary of State of the State of Delaware the same day, and it became effective upon filing. The company reported the change under Item 5.03 of a Form 8-K signed on June 6, 2025 by Douglas Barry, who signs as General Counsel.

The amendment was Proposal 3 on the ballot. It drew 85,825,060 votes for, 11,001,501 against and 18,991 abstentions, with no broker non-votes. The meeting was held virtually at 9:00 a.m. Eastern Time by live webcast. Proxies were solicited under an amended and restated proxy statement filed on April 24, 2025.

As of the April 8, 2025 record date, 108,107,890 shares of common stock were outstanding and entitled to vote. Shares present or represented by proxy were 96,845,552, which the filing puts at 89.58% of the shares entitled to vote. The 8-K does not say why Tango wants more authorized shares, how many it plans to issue, or when. The change does not itself issue any shares, but it leaves room to issue them without another stockholder vote, and any later issuance would dilute existing holders.

## Other items on the ballot

Stockholders elected Lesley Ann Calhoun as the Class I director. She will hold office until the 2028 annual meeting. She received 73,142,486 votes for and 10,476,404 withheld, with 13,226,662 broker non-votes.

Stockholders ratified PricewaterhouseCoopers, LLP as the independent registered public accounting firm for the fiscal year ending December 31, 2025. The vote was 96,740,238 for, 61,309 against and 44,005 abstentions.

The advisory vote on executive pay passed, but with visible opposition. It received 63,495,351 votes for and 20,089,177 against, with 34,362 abstentions and 13,226,662 broker non-votes. The vote is non-binding. On how often to hold such votes, one year drew 72,992,992 votes, three years drew 10,589,359 and there were 35,547 abstentions. Tango said it will follow the board's recommendation and hold the advisory vote every year until the next frequency vote.

## The company behind the vote

Tango describes itself in its annual report as a precision oncology company with a limited operating history. It says it has no products approved for commercial sale, has not generated any revenue from product sales and may never become profitable. It reports significant net losses since inception and expects to keep incurring losses for the foreseeable future.

The report also says Tango will need to raise substantial additional funding. If it cannot raise capital when needed or on acceptable terms, it says it would have to delay, reduce or eliminate some product development programs. It warns that raising capital may dilute stockholders, restrict operations or require giving up rights to its technologies or product candidates.

On the science, the annual report is blunt. Tango says it has never successfully completed any clinical trials, and that certain programs are still in preclinical development and may never advance to the clinic. It says initial, interim and top-line data can change as more patient data become available, and that earlier preclinical results do not necessarily predict later trial results. It also notes that its clinical trials may reveal significant adverse events not seen in preclinical studies, and that it relies on third parties to run its trials and to make its product candidates.

The company says its approach, aimed at genetically defined or biomarker-driven cancers, is novel and may never lead to approved or marketable products. It also faces substantial competition, which could mean rivals discover, develop or commercialize products before it does.
