Talphera, Inc. ([TLPH](https://aibio.space/companies/talphera/)) said on June 5, 2025 that Nasdaq has granted it an additional 180 days, until December 1, 2025, to regain compliance with the $1.00 minimum bid price requirement. The company disclosed the second compliance period in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1427925/000143774925019574/acrx20250605_8k.htm) under Item 3.01. To qualify for the extra time, Talphera moved its listing from The Nasdaq Global Select Market to The Nasdaq Capital Market.

## The new deadline

On June 5, 2025, Talphera received a written notice from the Listing Qualifications Staff of the Nasdaq Stock Market. It grants a Second Compliance Period through December 1, 2025 to meet the bid price requirement in Nasdaq Listing Rule 5550(a)(2). To regain compliance, the company must show a closing bid price of at least $1.00 per share for a minimum of 10 consecutive business days.

## How the company got here

On December 6, 2024, Nasdaq staff notified Talphera that its bid price had closed below $1.00 per share for 30 consecutive business days. That meant the company no longer met the minimum bid price requirement for Nasdaq Global Select Market issuers. It received an initial 180-calendar day grace period through June 4, 2025.

Issuers on the Global Select Market are not eligible for a second 180-day period. A company on The Nasdaq Capital Market can qualify if it meets the criteria in Nasdaq Listing Rule 5810(c)(3)(A)(ii). Talphera says it met those criteria and applied to transfer. Its common stock moved to The Nasdaq Capital Market at the opening of business on May 30, 2025, and it continues to trade as "TLPH". The move to a lower tier was the price of the extra time.

## Reverse split and appeal rights

Talphera has told Nasdaq it will cure the deficiency during the Second Compliance Period by effecting a reverse stock split, if necessary. The company says it will closely monitor the closing bid price and consider all available options, and it can give no assurance that it will regain or demonstrate compliance.

If the closing bid price reaches at least $1.00 for 10 consecutive business days during the period, Nasdaq staff will confirm compliance in writing, unless staff uses its discretion under Nasdaq Listing Rule 5810(c)(3)(H) to extend the ten-day period. If Talphera cannot show compliance by December 1, 2025, staff will notify it that the stock will be delisted. The company could then appeal to the Nasdaq Hearings Panel. The filing says an appeal request would stay any delisting action at least until a hearing before the panel and the end of any extension the panel grants.

## Losses, cash and going concern

The 10-K, filed March 31, 2025, shows a company with thin reserves. Its balance sheet reports cash and cash equivalents of $8,863 thousand at December 31, 2024, up from $5,721 thousand a year earlier, and no short-term investments at the end of 2024, against $3,660 thousand a year earlier. The MD&A puts cash, cash equivalents and short-term investments together at $8.9 million, compared with $9.4 million as of December 31, 2023. The company reports a net loss of $13,004 thousand for 2024, against $18,397 thousand for 2023, including $8.1 million of loss from discontinued operations in 2023.

The 10-K says that based on its current levels of operating expenses, its current capital is not expected to be sufficient to fund operations for the next twelve months. It adds that these conditions raise substantial doubt about the company's ability to continue as a going concern. The company says it has financed operations mainly through equity, borrowings and royalty financings.

The 10-K describes its lead candidate, Niyad, as in a registrational trial, and says the Niyad trial has had slower than expected site initiation and patient enrollment. The company also lists the risk that the trial could fail to meet the standards of regulators. The product line also includes LTX-608, an intravenous nafamostat for disseminated intravascular coagulation, and pre-filled syringe candidates.

## Acquisition and signatories

The company's Lowell Therapeutics acquisition in January 2022 carried consideration of approximately $32.5 million plus net cash acquired and other adjustments. That includes up to approximately $26.0 million of contingent consideration payable in cash or stock at the company's option.

Raffi Asadorian, Chief Financial Officer, signed the 8-K.
