Sunshine Biopharma Inc. (NASDAQ: [SBFM](https://aibio.space/companies/sunshine-biopharma/)) said on April 6, 2026 that it had filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2025. The company furnished the press release in an [8-K filed April 9, 2026](https://www.sec.gov/Archives/edgar/data/1402328/000168316826002781/sunshine_ex9901.htm). Revenue for 2025 was $36.3 million, a 4.1% increase compared with 2024.

## 2025 highlights

The release lists four highlights. The company raised $2.46 million in gross proceeds through a registered direct offering to support expansion of its sales operations. Nine new generic prescription drugs launched, expanding the portfolio in oncology, cardiovascular health, central nervous system disorders and antimicrobials. The company also reported progress in proprietary antiviral research, including a new series of orally active, non-covalent PLpro protease inhibitors. According to the release, those compounds showed dose-dependent antiviral activity in SARS-CoV-2-infected mice, strong potency in cellular models and favorable pharmacokinetics.

The chief executive, Dr. Steve Slilaty, said: "We are pleased with our accomplishments in 2025, as we remain committed to reaching profitability in the near future." He also said the company is excited about growth opportunities in 2026 and beyond as it expands its generic drug portfolio.

## Financial summary

The release gives the following figures in millions. Revenue was $36.31 for 2025 and $34.87 for 2024. Gross profit was $12.26 and $10.67. General and administrative expenses were $18.48 and $16.48. The net loss was $5.98 and $5.13.

The release says the increase in general and administrative expenses in 2025 was driven mainly by a non-cash, non-recurring impairment charge of $1.75 million related to intangible assets. Excluding that charge, the company says its operating performance reflects a meaningful improvement over 2024.

In January 2026 the company put in place cost-reduction initiatives aimed at lowering general and administrative expenses. Based on current plans, the company expects the initiatives to reduce expenses by approximately $2 million to $3 million in 2026, though it says there can be no assurance that the reductions will be fully realized.

## Financing and advisors

The release names no underwriter or placement agent for the $2.46 million registered direct offering. It does not name a lender, financial advisor or counsel for that offering.

## What the business does

The 10-K describes Sunshine Biopharma as a pharmaceutical company offering and researching medicines across several therapeutic areas, including oncology and antivirals. Its subsidiary Nora Pharma Inc. has 71 generic prescription drugs on the market in Canada, and Sunshine Biopharma Canada Inc. develops and sells OTC supplements.

Nora Pharma acquires product rights in three ways. Under in-licensing and supply agreements, it buys drug dossiers from partners and files them with Health Canada. Under cross-licensing, a partner's product that is already approved in Canada is authorized for Nora to sell. Under distribution agreements, Nora sells a partner's approved product under the partner's label. The 10-K says the Health Canada approval process takes on average 12 months for in-licensed products and on average 45-60 days for cross-licensed products.

## The proprietary pipeline

The proprietary program has two candidates. K1.1 mRNA is an LNP encapsulated mRNA candidate targeted for liver cancer. SBFM-PL4 is a protease inhibitor for the treatment of SARS coronavirus infections. The 10-K says the company has 22 additional drugs in its pipeline, including 12 it anticipates launching during the remainder of 2026.

## The weaker side of the year

The net loss widened to $5.98 million from $5.13 million even as revenue grew 4.1%, and the 10-K data show $5.3 million of cash used in operations in 2025. The company's statement that its operating performance excluding the impairment is a meaningful improvement is its own framing, and it did not give a figure for the adjusted result. It also gives no date for reaching profitability, only that it is committed to doing so in the near future. The $2.46 million raised in the registered direct offering is small against that cash use.

The antiviral results the release highlights come from mice and cell models, not people, and the release gives no numbers for potency or dose. Neither the release nor the 10-K gives a date for the clinical or regulatory steps of the proprietary programs. The planned 12 launches for the rest of 2026 are the company's expectation.
