Summit Therapeutics filed a prospectus supplement on July 23 for an at-the-market stock program of up to $380 million, with J.P. Morgan Securities as sales agent. The [filing](https://www.sec.gov/Archives/edgar/data/0001599298/000119312526314210/d39231d424b5.htm) says Summit sold the remaining $68.4 million under its earlier program after June 30.

The same day, the company [reported](https://s206.q4cdn.com/652410165/files/doc_news/Summit-Therapeutics-Reports-Financial-Results-and-Operational-Progress-for-the-Second-Quarter-and-Six-Months-Ended-June-30-2026-2026.pdf) a second-quarter net loss of $215.7 million and cash and short-term investments of $690.7 million at June 30.

## The details

Under the new [distribution agreement](https://www.sec.gov/Archives/edgar/data/0001599298/000119312526314210/d39231d424b5.htm), Summit can sell common stock with an aggregate price of up to $380 million, and J.P. Morgan can take a commission of up to 3.0%. The prospectus used an illustrative sale of 25,780,189 shares at $14.74, the July 22 closing price. It listed 793,120,362 shares outstanding at June 30. The 10-Q cover page [gives](https://www.sec.gov/Archives/edgar/data/0001599298/000159929826000068/smmt-20260630.htm) 797,749,602 shares as of July 17.

Summit said it will use the proceeds to continue developing ivonescimab, including trials in non-small cell lung cancer, colorectal cancer and other solid tumors, with the rest going to working capital and general purposes.

The [second-quarter report](https://s206.q4cdn.com/652410165/files/doc_news/Summit-Therapeutics-Reports-Financial-Results-and-Operational-Progress-for-the-Second-Quarter-and-Six-Months-Ended-June-30-2026-2026.pdf) says Summit raised $230.8 million gross through its ATM facility in the quarter and another $68.4 million after June. Cash and short-term investments fell to $690.7 million from $713.4 million at Dec 31, 2025. Net cash used in operations for the six months was $263.4 million. GAAP net loss for the quarter was $215.7 million, or $0.28 a share, and non-GAAP net loss was $147.0 million.

## Context

The [10-Q](https://www.sec.gov/Archives/edgar/data/0001599298/000159929826000068/smmt-20260630.htm) contains going concern language. It says cash and short-term investments are "not sufficient to fund the Company's planned operations for a period of at least one year" and that the conditions "raise substantial doubt about the Company's ability to continue as a going concern." Cash and equivalents were $419.4 million and short-term investments $271.3 million at June 30. The report gives no explicit runway guidance.

Spending is rising because trials are. [Non-GAAP operating expenses](https://s206.q4cdn.com/652410165/files/doc_news/Summit-Therapeutics-Reports-Financial-Results-and-Operational-Progress-for-the-Second-Quarter-and-Six-Months-Ended-June-30-2026-2026.pdf) were $151.8 million in the second quarter, up from $89.6 million a year earlier, which the company ties to expansion of the ivonescimab program. The program includes HARMONi-3, HARMONi-7, a colorectal trial called HARMONi-GI3 and several combination studies.

Summit also [sold](https://s206.q4cdn.com/652410165/files/doc_news/Summit-Therapeutics-Reports-Financial-Results-and-Operational-Progress-for-the-Second-Quarter-and-Six-Months-Ended-June-30-2026-2026.pdf) its antibiotic ridinilazole to Biossil in July for $500,000 upfront, up to $104.5 million in milestones and tiered royalties.

## What it means for investors

The financing is a standard way for a company without product revenue to fund trials, and it dilutes existing holders each time it is used. Summit raised $230.8 million in a quarter in which its shares [fell sharply](https://www.fiercepharma.com/pharma/summit-pd-1vegf-interim-trial-miss-surprises-analysts-shares-tumble) after the HARMONi-3 interim result. A going concern note in a 10-Q is a formal accounting disclosure about the next twelve months, not a statement that cash will run out. It does mean that, as the [filing](https://www.sec.gov/Archives/edgar/data/0001599298/000159929826000068/smmt-20260630.htm) puts it, cash on hand did not cover a full year of planned operations without further financing, and the ATM is the company's answer.

The size of the program, [$380 million](https://www.sec.gov/Archives/edgar/data/0001599298/000119312526314210/d39231d424b5.htm), is smaller than the roughly $690 million on hand, but it is large relative to quarterly operating spending. An FDA delay or a negative HARMONi-3 result would likely make further raises costlier.

## What to watch

The FDA's goal date for the HARMONi application is [Nov 14, 2026](https://s206.q4cdn.com/652410165/files/doc_news/Summit-Therapeutics-Reports-Financial-Results-and-Operational-Progress-for-the-First-Quarter-Ended-March-31-2026-2026.pdf). Third-quarter results should show how much of the $380 million program Summit has used.
