## The new supplement

Stoke Therapeutics, Inc. (Nasdaq: [STOK](https://aibio.space/companies/stoke-therapeutics/)) filed a prospectus supplement dated August 3, 2026 to sell common stock with an aggregate offering price of up to $200,000,000. The sales would be at-the-market, which means shares are sold into the market over time at prevailing prices. The supplement forms part of an automatic shelf registration statement on Form S-3ASR filed March 18, 2026.

The program runs under a Controlled Equity Offering sales agreement with Cantor Fitzgerald & Co., which the company first entered into on May 20, 2022. The new supplement replaces the prior supplement dated March 18, 2026 in its entirety, and the company says it will make no further sales under the old one.

The supplement says the company has already sold about 4.7 million shares under the prior supplement, for aggregate net proceeds of $146.4 million.

## Cantor's role and terms

Cantor is the sales agent. It is not required to sell any specific number or dollar amount of shares, and it will act using commercially reasonable efforts, consistent with its normal trading practices and on terms agreed between Cantor and Stoke. No funds are held in escrow or trust.

Cantor is paid up to 3.0% of the aggregate gross proceeds of shares sold. The supplement says Cantor will be deemed an underwriter under the Securities Act, and that its compensation will be treated as underwriting commissions or discounts. Stoke has also agreed to indemnify Cantor and provide contribution for certain liabilities, including those under the Securities Act and the Exchange Act.

Fenwick & West LLP of San Francisco passes upon certain legal matters for Stoke, and Cantor is represented by Paul Hastings LLP of New York. The company's 8-K filed the same day says the sales may be made "as sales agent or principal" and attaches a legal opinion from Fenwick & West LLP as Exhibit 5.1.

## Share price

Stoke's common stock trades on The Nasdaq Global Select Market under the symbol STOK. The last reported sales price on July 31, 2026 was $28.86 per share. The $200,000,000 ceiling limits proceeds, not shares. The supplement assumes sales of 6,930,006 shares at $28.86 for about $200.0 million, and says new investors would face immediate dilution of $21.05 per share. Net tangible book value was approximately $5.54 per share at June 30, 2026, on 62,402,595 shares outstanding. The count excludes 3,703,730 shares issuable on pre-funded warrants and 11,532,638 shares issuable on options.

## The business the money funds

The supplement calls Stoke a late-stage clinical company that upregulates protein expression with antisense oligonucleotides. Its first investigational medicine, zorevunersen, is being evaluated in a Phase 3 study in Dravet syndrome. The company's 10-K, filed March 16, 2026, names collaborations with Acadia Pharmaceuticals and Biogen International GmbH. Its forward-looking statements list the company's ability to become profitable and its ability to procure sufficient funding among the risks. They also list its limited operating history and the chance that early preclinical or clinical results will not hold in later studies.

## The 2025 and cash figures

The 10-K shows revenue of $184.4 million for 2025, against $36.6 million for 2024. Research and development expense was $137.9 million in 2025, up from $89.1 million. The net loss was $6.9 million for 2025, against $89.0 million for 2024.

Cash provided by operations was $45.6 million in 2025, against cash used in operations of $86.9 million in 2024. The XBRL data show cash and cash equivalents of $128.0 million at the end of 2024, and short-term investments of $88.9 million. For the end of 2025, they show cash and cash equivalents of $84.2 million and short-term investments of $200.4 million, in a 10-Q filed the same day as the supplement. At June 30, 2026, cash and cash equivalents were $110.0 million and short-term investments were $182.8 million.

The data do not say what produced the 2025 revenue.

## What comes next

The supplement sets no date for any sale. It says Stoke may use the money primarily for general corporate purposes, including research, clinical development, manufacturing, commercialization preparations and working capital, and that it has no current commitments to in-license or acquire assets.
