## The shelf and the sales agreement

Stoke Therapeutics, Inc. (Nasdaq: [STOK](https://aibio.space/companies/stoke-therapeutics/)) filed an automatic shelf registration statement on Form S-3ASR with the SEC on March 18, 2026. The filing contains two prospectuses. The base prospectus covers common stock, preferred stock, debt securities, warrants, subscription rights and units that the company may offer from time to time.

The second prospectus covers up to $150,000,000 of common stock sold through a Controlled Equity Offering sales agreement with Cantor Fitzgerald & Co., dated May 20, 2022. Cantor acts as sales agent on commercially reasonable efforts and is not required to sell any specific amount. No funds are held in escrow or trust.

Cantor's compensation is up to 3.0% of the aggregate gross proceeds of shares sold. The prospectus says Cantor will be deemed an underwriter under the Securities Act. For other securities, any underwriters, dealers or agents will be named in a prospectus supplement.

Fenwick & West LLP of San Francisco acts for Stoke and will pass upon certain legal matters, and Cantor is represented by Paul Hastings LLP of New York. Stoke also agreed to reimburse a portion of Cantor's expenses, including legal fees, up to $50,000, and estimates other offering expenses at approximately $0.3 million. KPMG LLP audited the 2025 and 2024 statements incorporated by reference.

## Price, share count and dilution

Stoke's common stock trades on The Nasdaq Global Select Market under STOK. The last reported sales price on March 16, 2026 was $33.96 per share.

The prospectus says 58,921,999 shares were outstanding on December 31, 2025. It excludes 10,151,430 shares issuable on options outstanding at that date, at a weighted average exercise price of $13.84. It also excludes 1,341,293 shares issuable on options granted after December 31, 2025, at a weighted average exercise price of $31.18.

To illustrate dilution, the prospectus assumes 4,416,961 shares sold at $33.96 a share. It warns that purchasers in an offering at a price above the net tangible book value per share may suffer immediate and substantial dilution. It also says the company may issue more equity or convertible debt, which could dilute holders further.

## Use of proceeds

Stoke intends to use the net proceeds for general corporate purposes, which may include research, clinical and process development, manufacturing, working capital, reducing indebtedness, and acquisitions or investments. The prospectus names no specific project or amount.

## The business behind the raise

Stoke is developing antisense oligonucleotides to restore protein levels, using its TANGO approach. Its lead medicine, zorevunersen (STK-001), is in the global Phase 3 EMPEROR study for Dravet syndrome, a severe genetic epilepsy. The company says it started in May 2025, with the first patient dosed in August 2025, and that it expects to finish enrolling about 150 patients in the second quarter of 2026. Pivotal data are anticipated in mid-2027, and a rolling NDA is planned to start in the first half of 2027. The company calls the earlier open-label Phase 1/2a results positive; those studies had no placebo arm.

In February 2025 Stoke licensed zorevunersen to Biogen International GmbH outside the U.S., Canada and Mexico. Stoke received an upfront payment of $165.0 million and bears 70% of development costs against Biogen's 30%. Development and commercial milestones could total up to approximately $50.0 million and $335.0 million, and the 10-K says no milestones had been met as of December 31, 2025.

## The 2025 financial figures

The company's 10-K, filed March 16, 2026, shows revenue of $184.4 million for 2025, against $36.6 million for 2024. Research and development expense rose to $137.9 million from $89.1 million. The net loss was $6.9 million for 2025, against $89.0 million for 2024.

Cash provided by operations was $45.6 million in 2025, compared with cash used in operations of $86.9 million in 2024. At the end of 2024, cash and cash equivalents were $128.0 million and short-term investments were $88.9 million. The XBRL data do not say what produced the 2025 revenue, and the prospectus text gives no revenue breakdown.

## What comes next

The prospectus sets no date for any sale under the Cantor agreement.
