Tickers [LAB](https://aibio.space/companies/labiana-health/)

A Delaware suit naming Casdin Capital and SomaLogic directors is set for a March 2027 bench trial. SRS had claimed up to $17.5 million in Palamedrix milestones; that matter is resolved and the company paid Illumina $7.5 million on its indemnity.

## Key facts

- **Company**: Labiana Health SA (BME: LAB)

- **News type**: Legal

- **Primary source**: [Standard BioTools 10-Q for the quarter ended June 30, 2026 (SEC EDGAR)](https://www.sec.gov/Archives/edgar/data/1162194/000119312526335103/lab-20260630.htm)

Standard BioTools (Nasdaq: [LAB](https://aibio.space/companies/labiana-health/)) said in its [10-Q filed August 5, 2026](https://www.sec.gov/Archives/edgar/data/1162194/000119312526335103/lab-20260630.htm) that a Delaware Court of Chancery case over the SomaLogic business combination is set for a three-day bench trial starting in March 2027, and that the company is no longer a party. A second matter, a milestone dispute over SomaLogic's Palamedrix acquisition, was resolved in July 2026. A [registration statement amendment filed October 21, 2026](https://www.sec.gov/Archives/edgar/data/1162194/000114036126040313/ny20077604x7_s4a.htm) says Standard BioTools paid Illumina $7.5 million on July 21, 2026 to satisfy its indemnification obligation for the Palamedrix matter.

The stockholder complaint was filed in December 2023. It named Standard BioTools, Casdin Capital, LLC, SomaLogic and the directors of SomaLogic, and it alleges breach of fiduciary duty and aiding and abetting breach of fiduciary duty. The 10-Q gives no case number or plaintiff name. In the Palamedrix matter, Shareholder Representative Services LLC (SRS), acting for Palamedrix securityholders, sued SomaLogic in the Court of Chancery in July 2025.

## The stockholder case

The complaint also sought an injunction postponing the business combination, which the court denied in January 2024. Standard BioTools' [10-K filed March 16, 2026](https://www.sec.gov/Archives/edgar/data/1162194/000119312526108326/lab-20251231.htm) dates the complaint December 13, 2023. An amended complaint followed in June 2024 with primarily the same allegations. According to the 10-Q it removed the company, SomaLogic and some of the SomaLogic director defendants.

The remaining defendants moved to dismiss in July 2024. In August 2025 the court issued a bench decision denying the motions, and the defendants answered in October 2025. The 10-Q does not say how much the plaintiffs seek.

## The Palamedrix matter

In March 2024, counsel for SRS wrote to SomaLogic alleging breaches of the Palamedrix Merger Agreement, dated July 25, 2022, relating to milestone payments. SomaLogic disputed the allegations and issued SRS a Milestone Abandonment Notice. In its July 2025 suit, SRS asserted that SomaLogic breached the agreement by failing to continue investing in the development of certain Palamedrix technology. SRS claims that if the technology had been developed and commercialized, SomaLogic would have owed up to $17.5 million in three sales-based milestone payments.

SomaLogic moved in August 2025 to compel arbitration or dismiss the case. The court denied the motion. In July 2026 the parties reached an agreement fully resolving the matter. The October 2026 filing says the $7.5 million payment to Illumina satisfied the indemnification obligation accrued as of June 30, 2026. Under a stock purchase agreement dated June 22, 2025, Illumina acquired SomaLogic, Inc. and related entities from Standard BioTools, and the 10-Q says the sale of the SomaScan business was completed on January 30, 2026.

## Defendants

The stockholder suit named Standard BioTools, Casdin Capital, LLC, SomaLogic and SomaLogic's directors. The 10-Q does not list the directors, and it does not say which defendants remain after the amendment. SomaLogic's [proxy statement filed December 1, 2023](https://www.sec.gov/Archives/edgar/data/1837412/000110465923122894/tm2331941-1_defm14a.htm) identifies these members of the SomaLogic Board: Tom Carey, Troy Cox, Kathy Hibbs and Eli Casdin, who were to continue as Standard BioTools directors, and Robert Barchi, Anne Margulies, Richard Post, Jason Ryan and Tycho Peterson, who were to resign at the merger. It does not say which directors were sued.

The October 2026 filing says entities affiliated with Casdin Capital, LLC own approximately 23 percent of Standard BioTools common stock, and that Eli Casdin, the founder and chief investment officer of Casdin Capital, is a director of Standard BioTools.

SomaLogic, Inc. was the only defendant in the Palamedrix suit.

## Related matters

The October 2026 registration statement covers a planned all-stock merger with Treeline Biosciences, Inc. under an agreement dated June 6, 2026. It says that in July and August 2026 Standard BioTools received demand letters from purported shareholders alleging that the proxy statement/prospectus omits certain material information. One of the letters seeks inspection of books and records under Section 220 of the DGCL.

## Why it matters to shareholders

Standard BioTools says it is no longer a party to the stockholder case and does not expect it to have a material effect on its financial statements. The 10-Q adds that management believes the final outcome of pending matters would not have a material adverse effect on its business, results of operations, financial condition or cash flows.
