On May 28, 2026, Soligenix, Inc. filed a prospectus supplement that raises by $2,956,000 the maximum aggregate offering amount of common stock it may issue under its At Market Issuance Sales Agreement with Rodman & Renshaw LLC. The agreement is dated January 23, 2026. The company reported the change in a Form 8-K filed the same day, signed by Christopher J. Schaber, Ph.D., President and Chief Executive Officer.

## The sales agreement

Under the agreement, Soligenix can sell shares of its common stock, par value $0.001 per share, through Rodman & Renshaw LLC in at-the-market offerings. The 8-K says the company had previously sold approximately $3,445,000 of shares under the agreement, using a prior prospectus supplement. The new supplement adds $2,956,000 of capacity for further sales.

The 8-K attaches, as Exhibit 5.1, an opinion from Duane Morris LLP on the legality of the $2,956,000 of shares covered by the supplement. Duane Morris LLP also provided its consent, listed as Exhibit 23.1. The 8-K does not describe the commission payable to the sales agent or any other term of the agreement beyond the offering amount.

## What the company does

In its [annual report on Form 10-K filed March 31, 2026](https://www.sec.gov/Archives/edgar/data/812796/000110465926037701/sngx-20251231x10k.htm), Soligenix describes itself as a late-stage biopharmaceutical company that develops and commercializes products for rare diseases. It has two segments. The Specialized BioTherapeutics segment is developing HyBryte, a photodynamic therapy that uses topical synthetic hypericin activated by safe visible light. The company is developing HyBryte for cutaneous T-cell lymphoma.

The annual report calls the first Phase 3 study of HyBryte, called FLASH, successful and cites positive primary endpoint results. Soligenix reports that it began enrolling patients in the second Phase 3 study, FLASH2, in December 2024, after the European Medicines Agency agreed on the key design components of that placebo-controlled confirmatory trial. The company anticipates top-line FLASH2 results in the second half of 2026.

Other programs in the same segment include a planned Phase 2a trial of synthetic hypericin in psoriasis, under the research name SGX302, and the development of dusquetide, an Innate Defense Regulator, in Behcet's Disease and in oral mucositis for head and neck cancer. The Public Health Solutions segment includes RiVax, a ricin toxin vaccine candidate, and vaccine programs against filoviruses and COVID-19. The annual report says these programs draw on government funding from the National Institute of Allergy and Infectious Diseases, among other agencies, and that the company continues to apply for more grants, contracts and procurements for both segments. For oral mucositis, the annual report adds that the UK regulator, the MHRA, told the company a second Phase 3 trial would be required to support a marketing authorization.

## Financial position

The company's reported figures show research and development expense of $7.5 million for the fiscal year ended December 31, 2025, up from $5.2 million for 2024. The net loss was $11.1 million for 2025 and $8.3 million for 2024. Cash from operations was negative $10.3 million for 2025 and negative $8.4 million for 2024. Revenue was $119,371 for 2024. The figures are taken from the annual report filed March 31, 2026.

## What comes next

The company says that if FLASH2 is successful, it will seek regulatory approval for potential commercialization worldwide. That depends on the trial succeeding, and the annual report says the company is still talking with the FDA about changes to its development path to address the agency's feedback. The annual report was filed March 31, 2026, and this 8-K does not update the trial timetable.

The funding picture is tight. The annual report shows cash from operations of negative $10.3 million for 2025 against a net loss of $11.1 million, with revenue of only $119,371 in 2024. The company sold about $3,445,000 of stock under the sales agreement and is now adding $2,956,000 of capacity, which means more shares for existing holders to absorb. The 8-K does not say how much of the new capacity the company plans to use, or when, and it gives no share count.
