Solid Biosciences Inc., which is based in Charlestown, Massachusetts, said its stockholders approved an amendment to the company's certificate of incorporation at the annual meeting held June 10, 2026. The amendment raises the number of authorized shares of common stock from 240,000,000 to 480,000,000. The company reported the results under Item 5.07 of a Form 8-K dated June 10, 2026, signed by Chief Executive Officer Alexander Cumbo, and said it filed a Certificate of Amendment with the Delaware Secretary of State the same day. The shares trade on the Nasdaq Global Select Market under the symbol SLDB.

## The share increase vote

The share increase was one of five matters put to a vote at the meeting, along with the election of three Class II directors, an advisory ratification of a Class I director, the auditor and a say-on-pay vote. The amendment received 85,604,508 votes for, 893,360 votes against and 27,502 abstentions. The 8-K lists no broker non-votes for that item, while the director elections, the Ganot item and the pay vote each carry 7,685,551. The 8-K describes the amendment only as an increase in authorized shares and does not state a reason for it.

## Director elections

Stockholders elected Clare Kahn, Adam Stone and Lynne Sullivan as Class II directors, each to serve until the 2029 annual meeting. Kahn received 73,139,200 votes for and 5,700,169 withheld. Stone received 71,556,735 votes for and 7,282,634 withheld, the largest number withheld among the three. Sullivan received 73,124,331 votes for and 5,715,038 withheld. Each had 7,685,551 broker non-votes.

Stockholders also ratified the appointment of Ilan Ganot as a Class I director, to serve until the 2028 annual meeting. The 8-K describes that item as advisory. That item drew 78,636,398 votes for, 185,585 against and 17,386 abstentions.

## Auditor and pay

Stockholders ratified PricewaterhouseCoopers LLP as the independent registered public accounting firm for the year ending December 31, 2026, with 86,420,186 votes for, 70,007 against and 34,727 abstentions.

In a non-binding, advisory vote on the pay of named executive officers, 72,596,980 votes were cast for, 6,203,634 against and 38,755 abstentions. The 7,685,551 broker non-votes matched those in the director elections.

## Spending in the latest annual report

The company's annual report, filed March 19, 2026, shows research and development expense of $140.3 million in 2025, up from $96.4 million in 2024. Cash used in operations was $156.3 million in 2025, against $100.0 million in 2024. Spending rose on both measures in 2025. The 8-K itself gives no cash figures.

## What the business is

The annual report describes a pipeline of neuromuscular candidates, including SGT-003 and SGT-212, and cardiac candidates, including SGT-401, SGT-501 and SGT-601. Its forward-looking statements name the timing and results of ongoing and planned preclinical studies and clinical trials, the timing of regulatory approval, pricing and reimbursement, and market acceptance as uncertainties. The report also lists the company's manufacturing capacity constraints and its ability to establish collaborations among factors that could affect results.

## What the 8-K leaves open

Authorized shares are a ceiling, not a count of shares outstanding. Raising the ceiling lets the company issue more shares later, but the 8-K describes no specific issuance under the larger authorization. The filing does not give a reason for the increase, and the say-on-pay result is advisory, so it does not bind the board.
