Solid Biosciences Inc. filed a prospectus supplement dated August 6, 2026 for an at-the-market offering of up to $200,000,000 of common stock. Jefferies LLC acts as sales agent under a sales agreement dated March 13, 2019 and amended and restated on March 13, 2024. The supplement is filed under Registration No. 333-287325 and supplements a base prospectus dated May 27, 2025. Shares are sold on the Nasdaq Global Select Market, and Jefferies is paid a commission of up to 3.0% of the gross sales price. The shares trade under the symbol SLDB.

## The program it replaces

A prior prospectus supplement dated May 15, 2025 covered up to $85,000,000 of sales through Jefferies. The company says it has sold stock for aggregate gross proceeds of approximately $84,993,553 under that agreement and the prior supplement, leaving $6,447 unsold. The unsold balance will no longer be offered under the older supplement. It moves into the new one, alongside $199,993,553 of new capacity, for up to $200,000,000 in total.

## Jefferies is not required to sell

Jefferies is not required to sell any specific amount and will act with commercially reasonable efforts, consistent with its normal trading and sales practices. There is no escrow, trust or similar arrangement for funds. Jefferies will be deemed an underwriter under the Securities Act of 1933 in connection with the sales. The supplement says there can be no assurance that the company will sell any shares under the agreement or fully use it as a source of financing.

## Dilution

The company uses an assumed offering price of $8.73 per share, the last sale price on August 5, 2026 on the Nasdaq Global Select Market. On that basis, after estimated commissions and offering expenses, the as adjusted net tangible book value at June 30, 2026 would be about $567.8 million, or about $4.43 per share. That is an increase of about $0.87 per share for existing holders and an immediate dilution of about $4.30 per share for buyers in the offering.

At June 30, 2026, the company had 44,408,300 shares of common stock issuable on exercise of pre-funded warrants at an exercise price of $0.001 per share. The supplement says exercises of options, warrants or pre-funded warrants, and vesting of restricted and performance stock units, could cause further dilution. The company says it will have discretion over the timing and prices of sales, subject to market demand and the terms of the agreement.

## Recent financing history

The supplement lists private placements in July 2019, December 2020, January 2024 and March 2026, and a public offering in February 2025. The supplement also details shares paid for licences and milestones. In December 2024 the company issued 364,990 shares to Mayo Foundation for Medical Education and Research in a private placement tied to a collaboration, patent and know-how license agreement. It paid FA212 LLC 975,496 shares in February 2025 after the FDA cleared its IND for SGT-212 and 1,316,899 shares in January 2026 after the first participant was dosed in the Phase 1b FALCON trial of SGT-212. The company says it has filed resale registration statements for all of the shares issued to Mayo and FA212.

## Cash burn and the balance sheet

The annual report, filed March 19, 2026, shows research and development expense of $140.3 million in 2025, up from $96.4 million in 2024. Cash used in operations was $156.3 million in 2025, against $100.0 million in 2024.

The company's quarterly report filed on August 6, 2026 shows cash and cash equivalents of $159.4 million at June 30, 2026, and short-term investments of $218.3 million at the same date.

## Legal counsel

Wilmer Cutler Pickering Hale and Dorr LLP, Boston, passes on the validity of the shares for the company. Davis Polk & Wardwell LLP, New York, is counsel to Jefferies in the offering.

## What the supplement leaves open

The supplement does not say how much stock the company expects to sell under the program. It says the company intends to use net proceeds for general corporate purposes, and lists research and development, preclinical and clinical development, acquisitions or in-licences, repayment and refinancing of debt, working capital and capital expenditures as possible uses. The company has also agreed to reimburse Jefferies for certain specified expenses and estimates other offering expenses at approximately $250,000.
