Skye Bioscience, Inc. published an investor presentation on August 14, 2026, furnished with a Form 8-K, describing a definitive transaction with Redx Pharma Limited. Redx is a U.K. company, and the deal would be carried out by a scheme of arrangement under Part 26 of the U.K. Companies Act 2006. The deck says both boards unanimously approved the deal, which it expects to close in the fourth quarter of 2026. The combined company would be led by Lisa Anson as chief executive officer, with the current Redx management team.

## The terms

The deck says the combined company is expected to be funded into 2029 through a concurrent financing totaling $125 million. Closing is subject to shareholder approval at both companies, the sanction of the scheme by the High Court of Justice of England and Wales, and approval of the shares for listing on Nasdaq.

Former Skye shareholders would receive a contingent value right entitling them to 90% of net cash proceeds, if any, from any monetization of nimacimab and its intellectual property within 12 months of closing. The deck's risk language says holders may never receive any proceeds.

The pro forma capitalization table lists 50,254,721 Skye shares, including options, warrants and restricted stock units, at an implied value of $14.5 million. It lists 558,191,980 Redx shares at $161.0 million and 325,789,219 concurrent financing shares at $89.0 million, for 934,235,920 fully diluted shares at an implied value of $264.5 million. On that basis Skye holders would own 5.38% of the combined company, Redx holders 59.75% and the concurrent financing investors 34.87%. A footnote says Skye's share count includes shares granted in connection with a financial advisor fee. The deck does not name that advisor or the investors in the concurrent financing.

## Why Skye is stepping back

The deck says Skye is discontinuing the CBeyond trial of nimacimab and pausing development rather than funding the next phase. It calls this a capital decision, not a conclusion about the biology, and says the company engaged a financial advisor to evaluate strategic options. The deck also says the landscape has moved: new oral GLP-1 options are advancing, highly efficacious combination and triple agonists are emerging, and the target product profile needed to compete has shifted.

The deck says nimacimab was well tolerated, with a safety profile in line with placebo. With semaglutide, it says, nimacimab produced clinically meaningful additional weight loss compared with semaglutide alone. The slide gives no weight-loss figures, sample size or statistical analysis for that comparison.

The company's annual report, filed March 10, 2026, calls nimacimab a peripherally restricted antibody that negatively modulates the CB1 receptor. Skye acquired it through Bird Rock Bio, Inc. in August 2023.

## Skye's finances

XBRL data show a 2025 net loss of $55.9 million, up from $26.6 million in 2024. Cash used in operations was $43.1 million in 2025, against $25.2 million in 2024. A 10-Q filed August 14, 2026 reports year-end 2025 cash and cash equivalents of $5.9 million and short-term investments of $19.9 million. At June 30, 2026, cash and cash equivalents were $8.1 million and short-term investments were $2.0 million.

## Redx and its pipeline

The deck presents Redx's fibrosis assets as Fibrx Therapeutics, a new pure-play fibrosis biotech. Its lead program is RXC008, a GI-restricted pan-ROCK inhibitor for fibrostenotic Crohn's disease. The deck says RXC008 has an open IND and FDA Fast Track Designation, with enrollment expected to begin in the fourth quarter of 2026 and topline data expected in the second half of 2028. It says no approved therapy exists for the underlying fibrosis. The Phase 1 study of RXC008 enrolled 59 healthy participants, and the deck reports no serious adverse events and no hypotension. Efficacy evidence so far comes from animal models.

The deck also lists zelasudil, a selective ROCK2 inhibitor for idiopathic pulmonary fibrosis, with Phase 2a data reported in 2025. It says zelasudil is excluded from the use of proceeds of the Series A and PIPE financings and needs a future transaction or partnership. Redx's earlier pirtobrutinib work, marketed as Jaypirca, was sold to Loxo Oncology, now part of Eli Lilly, and Redx has no remaining economic interest.
