Skye Bioscience, Inc. (Nasdaq: [SKYE](https://aibio.space/companies/skye-bioscience/)) is a defendant in a putative securities class action over statements about its drug candidate nimacimab, and two related stockholder derivative suits, according to its [10-Q filed August 14, 2026](https://www.sec.gov/Archives/edgar/data/1516551/000162828026056968/skye-20260630.htm). The class action, Stout v. Skye Bioscience, Inc., et al., Case No. 3:25-cv-03177-WQH, was filed on November 17, 2025 in the U.S. District Court for the Southern District of California. The complaint names the company and certain of its executives.

The derivative suits are Domulot v. Dhillon et al., Case No. 3:26-cv-00600-WQH, filed January 29, 2026, and Dillan White v. Dhillon, et al., Case No. 3:26-cv-2776-MSB, filed May 1, 2026, in the same district. Both captions lead with Punit Dhillon, Skye's chief executive officer. The 10-Q does not name the class action executives or the other officers and directors. They are identified below from Skye's earlier filings, with the limits of what those say.

## The case

The class action alleges that Skye and certain executives violated Section 10(b) of the Securities Exchange Act of 1934 and SEC Rule 10b-5 by making materially false or misleading statements about the efficacy of and prospects for nimacimab between November 4, 2024 and October 3, 2025. It also alleges that the executives, whom it names as defendants, violated Section 20(a). The plaintiff seeks class certification, unspecified damages, costs and expenses, including attorneys' fees and expert fees, and other relief.

The two derivative suits sue on the company's behalf. They assert claims against certain officers and directors for breach of fiduciary duty, unjust enrichment, abuse of control, gross mismanagement, waste of corporate assets, violations of Section 14(a) of the Exchange Act, and contribution under the Exchange Act. The claims rest on the dissemination of allegedly false and misleading statements about nimacimab. Both seek unspecified damages, costs and expenses, and corporate governance reforms.

## Defendants

Skye is a defendant in the class action. The 10-Q says only that "certain of the Company's executives" are named, and the derivative captions lead with Dhillon. Skye's [10-K filed March 20, 2025](https://www.sec.gov/Archives/edgar/data/1516551/000151655125000027/skye-20241231.htm), which falls inside the class period, was signed by Punit Dhillon as chief executive officer and Kaitlyn Arsenault as chief financial officer. Directors Paul Grayson (chairman), Deborah Charych, Andrew J. Schwab, Karen Smith and Annalisa Jenkins signed it too.

Skye's [proxy statement filed April 16, 2026](https://www.sec.gov/Archives/edgar/data/1516551/000162828026025368/skye-20260415.htm) lists the same six directors, including Dhillon, and says Arsenault stepped down as chief financial officer effective February 20, 2026. Beyond Dhillon in the captions, the filings do not say which of these people are defendants.

## Where it stands

On January 16, 2026, two stockholders moved to be appointed lead plaintiff in the class action. The 10-Q reports no ruling on that motion, no amended complaint and no motion to dismiss. Both derivative suits have been stayed pending developments in the class action. On August 11, 2026 the parties filed a joint motion to consolidate them.

Skye's preliminary proxy statement filed October 28, 2026 for its proposed acquisition of Redx Pharma Limited still describes the suits. It says Skye and certain of its officers and directors "were sued in a putative class action lawsuit and a related stockholder derivative lawsuit based on allegedly false and misleading statements related to nimacimab." It reports no ruling.

## Why it matters to shareholders

Skye's 10-Q also describes a separate employment case that carries an accrued estimate of its own. For the class action and the derivative suits, the 10-Q gives no estimate of loss. The preliminary proxy warns that such litigation could cost Skye substantial amounts and divert management's attention. The 10-Q does not say whether insurance would cover these suits.
