Silo Pharma, Inc. (Nasdaq: [SILO](https://aibio.space/companies/silo-pharma/)) agreed on August 18, 2026 to buy software, technology, domain names and related intellectual property from Parkview Consulting LLC. The company reported the agreement in a Form 8-K filed on August 19, 2026. Silo paid for the assets with 165,000 shares of its common stock, and those shares are subject to a lock-up.

The 8-K identifies Corwin Yu as the sole member and manager of Parkview. It says Yu currently serves as the lead strategic advisor on Silo's Cryptocurrency Advisory Board. The filing discloses that relationship alongside the purchase.

## The terms

The asset purchase agreement is dated August 18, 2026. Under it, Parkview agreed to sell, and Silo agreed to buy, certain software, technology, domain names and related intellectual property. The filing says the agreement contains representations, warranties and covenants that are customary for agreements of its type. Parkview also agreed to indemnify Silo for any misrepresentation or breach, for any infringement of a third party's rights by any portion of the software, and for acts of gross negligence, fraud or intentional misconduct by the seller.

The shares are locked up from the effective date of the agreement. The lock-up ends on the earliest of three events: twelve months after that date, a change in control as defined in the agreement, or Silo's written consent. During the lock-up, Parkview may not offer, sell, hedge, pledge or otherwise transfer the shares without Silo's prior written consent. It also may not enter into swaps or other transactions that transfer the economic consequences of owning them.

Silo offered and sold the shares to Parkview in reliance on Section 4(a)(2) of the Securities Act of 1933. The filing names no underwriter or placement agent for the transaction. The full agreement is filed as Exhibit 10.1 to the 8-K. The company states that certain schedules were omitted under Item 601(b)(10) of Regulation S-K and that it will furnish any omitted schedule to the Securities and Exchange Commission on request.

## What the company does

Silo's annual report for fiscal 2025, filed March 27, 2026, describes the company as a developmental stage biopharmaceutical and cryptocurrency company. Its therapeutic focus covers conditions such as post-traumatic stress disorder, stress-induced anxiety disorders, fibromyalgia and central nervous system diseases.

The lead program, SPC-15, is an intranasal treatment for PTSD and stress-induced anxiety disorders. The annual report says the company holds exclusive global rights to SPC-15 under a license agreement with Columbia University entered into on July 1, 2024. It also says the intranasal formulation may qualify for the FDA's 505(b)(2) regulatory pathway.

SP-26 is a time-release ketamine-based implant for fibromyalgia and chronic pain. Two preclinical programs complete the list: SPC-14, an intranasal compound for Alzheimer's disease, and SPU-16, a CNS-homing peptide with an initial research indication in multiple sclerosis.

## Financial position

The annual report shows research and development expense of $2.2 million for 2025, compared with $2.4 million for 2024. It reports a net loss of $4.2 million for 2025 and $4.4 million for 2024. Cash from operations was negative $4.7 million in 2025 and negative $3.8 million in 2024. Year-end cash and cash equivalents were $3.9 million at the end of 2024.

The 8-K does not describe the company's cash position.

## The risks ahead

The 8-K puts no value on the 165,000 shares or the purchased assets, and it does not say whether anyone independent of Silo reviewed a deal with a seller whose sole member advises the company's cryptocurrency board. The software is not tied to the drug pipeline in the filing. Silo has almost no revenue: $72,102 in both 2025 and 2024, against a net loss of $4.2 million and cash used in operations of $4.7 million in 2025. At June 30, 2026, cash and cash equivalents were $3.3 million and short-term investments $2.0 million. SPC-15 remains early: a pre-IND package went to the FDA in June 2024 and the sources show no IND and no human data.
