Silo Pharma, Inc. agreed on October 1, 2026, to buy software, technology and related intellectual property from Norsight Consulting Inc., an Arkansas corporation. The company paid for the assets by issuing Norsight a warrant to buy up to 300,000 shares of common stock. The purchase is not a cash raise. The [8-K filed October 2, 2026](https://www.sec.gov/Archives/edgar/data/1514183/000121390026106435/ea0307598-8k_silo.htm) names no underwriter or placement agent. The offer and sale of the warrant and the shares issuable on exercise were made under the Section 4(a)(2) exemption from registration.

## The terms

The asset purchase agreement covers certain software, technology and related intellectual property. The purchased assets include related trademarks, domain names, data, trade secrets and other intellectual property rights. The warrant has an exercise price of $1.51 per share and includes a cashless exercise feature. It becomes exercisable beginning April 1, 2027, and expires on September 30, 2031.

Norsight may not exercise any part of the warrant if it would own more than 4.99% of the outstanding common stock immediately after exercise. Norsight may raise or lower that percentage, but not above 9.99%, and any increase requires at least 61 days' prior notice to Silo. Each share Norsight receives under the agreement, including shares issuable on exercise of the warrant, is subject to a lock-up. The lock-up runs for twelve months, ends earlier on a change in control or on written consent from Silo, and prevents Norsight from selling, hedging, pledging or otherwise transferring those shares.

The agreement contains customary representations, warranties and covenants. Norsight agreed to indemnify Silo for breaches, infringement and misconduct. The agreement is Exhibit 10.1 to the 8-K. The schedules to that exhibit were omitted under Item 601(b)(10) of Regulation S-K, and Silo agreed to furnish them to the Securities and Exchange Commission on request.

## Who Silo is

The company's annual report, filed March 27, 2026, describes Silo Pharma as a developmental stage biopharmaceutical and cryptocurrency company. Its therapeutics focus is on novel treatments for underserved conditions, including PTSD, stress-induced anxiety disorders, fibromyalgia and central nervous system diseases. Its lead program, SPC-15, is an intranasal drug targeting PTSD and stress-induced anxiety disorders. The company says SPC-15 is a serotonin 4 receptor agonist that could potentially qualify for the FDA's 505(b)(2) pathway.

The report says Silo holds exclusive global rights to SPC-15 under a license agreement with Columbia University entered into on July 1, 2024. Preclinical and formulation studies for the nasal spray delivery were completed in the first half of 2024, and the company submitted a pre-IND briefing package to the FDA on June 4, 2024. Other programs include SP-26, a ketamine-based implant, and two preclinical programs.

## Financial position

The annual report shows research and development expense of $2.2 million for 2025, compared with $2.4 million for 2024. The net loss was $4.2 million in 2025 and $4.4 million in 2024. Cash used in operations was $4.7 million in 2025, compared with $3.8 million in 2024. Year-end cash and cash equivalents were $3.9 million at December 31, 2024.

Figures from the company's quarterly report filed August 13, 2026, show cash and cash equivalents of $4.7 million and short-term investments of $2.1 million at December 31, 2025. At June 30, 2026, cash and cash equivalents were $3.3 million and short-term investments were $2.0 million.

## The risks ahead

The 8-K puts no value on the assets or the warrant and does not say how the software and data will be used in Silo's programs. The warrant covers up to 300,000 shares at $1.51 and cannot be exercised before April 1, 2027, so it adds to the potential share count and brings in no cash now. Norsight's indemnity covers breaches and infringement, but the schedules to the agreement were left out of the filing.

Silo has almost no revenue: $72,102 in both 2025 and 2024, against a net loss of $4.2 million and cash used in operations of $4.7 million in 2025. SPC-15 remains early: a pre-IND package went to the FDA in June 2024 and the sources show no IND and no human data.
