Silexion Therapeutics Corp filed a Form S-3 registration statement on October 28, 2026 covering the resale of up to 8,813,531 ordinary shares by selling shareholders. The shares trade on Nasdaq as SLXN. The filing's share and price figures do not yet reflect the 1-for-24 reverse split that shareholders approved on October 26, 2026, which the company says it intends to effect in the near future.

## The three sources

On September 28, 2026, holders of 3,216,928 Series E warrants issued in the August 13, 2026 public offering agreed to exercise them at a reduced price of $0.2603 per share, and the deal closed on September 29, 2026. As an inducement, the company issued 6,433,856 new warrants, split between Series F and Series G warrants at the same $0.2603 exercise price. The placement agent, H.C. Wainwright & Co., LLC, also received 225,185 placement agent warrants at $0.3254 per share.

The company also converted all remaining amounts owed to Moringa Sponsor, L.P. under a convertible promissory note dated August 15, 2024, into 1,414,266 shares. On October 28, 2026, the company issued 740,224 shares to LifeSci Advisors, LLC as payment for services under a commercial agreement.

## The sponsor dispute

On June 22, 2026, Moringa Sponsor, which the filing says is controlled by a former director, Ilan Levin, filed a complaint in the Tel Aviv-Jaffa District Court against the company, its chairman and chief executive officer, and its chief financial officer. The complaint says the company had not properly converted amounts under the note into shares before that date. In the alternative, it demands repayment of the $3.433 million original principal plus damages. The sponsor also disputes the conversions the company made in the third quarter of 2026. The company calls the claims baseless, says the disputed conversions were valid, and says it has filed a statement of defense and a counterclaim for damages.

## Nasdaq notices

On August 18, 2026, Nasdaq sent a delisting notice because shareholders' equity was $44 thousand at June 30, 2026, below the $2.5 million minimum for the Nasdaq Capital Market. On September 25, 2026, Nasdaq sent a second notice for a closing bid below $1.00 for 30 consecutive trading days. The company says the bid price deficiency would ordinarily have led to a delisting notice because it had effected a reverse split within the prior 12 months. At a hearing before a Nasdaq hearings panel on September 24, 2026, it appealed and presented plans to regain compliance with the equity and bid price requirements by November 16, 2026 and November 24, 2026. The company says financing in the third quarter raised shareholders' equity to about $3.2 million at September 30, 2026.

## The financing record

The August 13, 2026 public offering sold 2,028,619 ordinary shares and 1,817,542 pre-funded warrants, with warrants exercisable at $0.65 per share for five years. Gross proceeds were about $2.5 million before placement agent fees, and the September inducement brought about $0.84 million.

The at-the-market facility under an agreement dated September 26, 2025 with H.C. Wainwright allows sales of up to $13.17 million. Through September 30, 2026, the company had sold about $3.97 million under it, leaving about $9.20 million available.

## The business and the earlier years

Silexion's lead candidate is SIL204, a small interfering RNA solution for locally advanced pancreatic cancer. It started a Phase 2/3 trial at Tel Aviv Sourasky Medical Center in late July 2026 and dosed its first patient on September 30, 2026. The annual report, filed March 17, 2026, shows a 2025 net loss of $11.9 million and cash used in operations of $10.8 million. Cash and cash equivalents were $6.0 million at the end of 2025 and $2.2 million at June 30, 2026.

## What the filing leaves open

The S-3 does not say how many of the registered shares the selling shareholders intend to sell, or when. The company receives no proceeds from the resales, but says full cash exercise of the Series F and G warrants could bring about $1.675 million. Meitar Law Offices and Greenberg Traurig, LLP are listed on the cover as counsel, and Conyers Dill & Pearman LLP will pass on the legality of the shares. The S-3 repeats the auditor's going-concern paragraph.
