Silexion's 1-for-10 reverse share split took effect after the close of trading on May 28, 2026, and the company's warrants were repriced ten-fold with it. By autumn the company was asking shareholders for another split.

Silexion Therapeutics (Nasdaq: [SLXN](https://aibio.space/companies/silexion-therapeutics/)) put a [1-for-10 reverse share split](https://www.sec.gov/Archives/edgar/data/2022416/000117891326002988/zk2635442.htm) into effect after the close of trading on May 28, 2026. Shares began trading on a split-adjusted basis on the Nasdaq Capital Market at the open on May 29 under the same ticker, SLXN. The company's shareholders had approved the split at a reconvened extraordinary general meeting on May 5, 2026, and the board carried it out through a certificate filed with the Companies Registry of the Cayman Islands. Ilan Hadar, the chief executive officer, signed the filing.

## What changed on the cap table

The authorized share capital stayed at $796,500 but now consists of 5,900,000 ordinary shares. Par value rose from $0.0135 to $0.135 per share, and the CUSIP number changed to G1281K148. Silexion's [May 26 announcement](https://www.sec.gov/Archives/edgar/data/2022416/000117891326002900/zk2635400.htm) said the split would happen automatically, with no action required from shareholders, and that no fractional shares would be issued. Any fractional entitlement held by a DTC participant is rounded up to the nearest whole share.

Nasdaq's [corporate actions alert number 2026-359](https://www.nasdaqtrader.com/TraderNews.aspx?id=ECA2026-359) gave the effective date as Friday, May 29, 2026, and described the change as a one-for-ten reverse split with a par value change from $0.0135 to $0.135.

## The warrants

The split also reached the company's public and private warrants, which came from the Moringa Acquisition Corp special purpose acquisition company. On May 29 Silexion issued a Warrant Adjustment Notice under the Warrant Agreement dated February 19, 2021, with Continental Stock Transfer & Trust Company as warrant agent. Moringa's rights under that agreement passed to Silexion in the business combination completed on August 15, 2024.

Each warrant is now exercisable for 1/10th of an ordinary share. The exercise price per whole post-split share rose ten-fold to $15,525.00. Fractional shares will not be issued on exercise, and the rounded-up share count requires payment of the full exercise price for that whole number. The warrants keep the symbol SLXNW and the CUSIP number G1281K 114.

## The company behind the split

Silexion describes itself as a clinical-stage, oncology-focused company working on KRAS-driven cancers. Its lead candidate, SIL204, is a locally administered small interfering RNA given with standard-of-care chemotherapy as a first-line treatment for locally advanced pancreatic cancer. The company says an earlier product showed a "positive trend" in a Phase 2a trial against chemotherapy alone. A trend is not a proven benefit, and SIL204 has still to produce efficacy results of its own.

The annual report filed on March 17, 2026 shows what the company is paying for that work. Silexion reported a net loss of $11.9 million for 2025, against $16.5 million for 2024. It used $10.8 million in operations in 2025 and $8.4 million in 2024. Research and development expense was $7.1 million in 2025 and $5.8 million in 2024. Year-end 2024 cash and cash equivalents were $1.2 million.

The annual report also describes debt to the SPAC sponsor: an amended and restated convertible promissory note to the Moringa sponsor with an original principal amount of $3,433,000, of which $1,633,000 remained outstanding. A separate $1,250,000 convertible note to EarlyBirdCapital, the representative of the underwriters of Moringa's initial public offering, was retired on March 18, 2025. Silexion also has an at-the-market agreement dated September 26, 2025 with H.C. Wainwright & Co., LLC for sales of up to $13,170,000 of ordinary shares.

## A second split follows

A split adds neither equity nor cash. A later [proxy supplement](https://www.sec.gov/Archives/edgar/data/2022416/000117891326004794/zk2636235.htm) dated October 19, 2026 shows the problem returning. Silexion told a Nasdaq hearings panel on September 24, 2026 that the shares had fallen below the $1.00 minimum bid price under Listing Rule 5550(a)(2) for a consecutive 30-trading day period, and that it expects a further reverse split to restore compliance.

Shareholders are asked to approve a new ratio of between 1-for-15 and 1-for-25, along with an increase of 500,000,000 authorized shares, from 15,900,000 to 515,900,000. That increase is meant to help meet Nasdaq Listing Rule 5550(b)(1), which requires at least $2.5 million of shareholders' equity. The meeting set for October 19 was adjourned without any business and reconvenes on October 26, 2026.
