Sigyn Therapeutics, Inc. filed a notification of late filing on Form 12b-25 for its quarterly report on Form 10-Q for the period ended June 30, 2025. The notice is dated August 14, 2025 and was filed with the SEC on August 15, 2025. It is signed by James Joyce, the company's chief executive officer, and lists the company's offices at 2305 Historic Decatur Road, Suite 100, San Diego, California.

## The reason given

The notice says the compilation, dissemination and review of the information required in the quarterly report imposed time constraints that made timely filing impracticable without undue hardship and expense. In Part II, the company checked the box stating that the reason could not be eliminated without unreasonable effort or expense. The company undertakes to file the report no later than five days after the original due date.

The notice does not name a specific accounting problem or an auditor issue. It says all other periodic reports required in the past 12 months have been filed. It also says no significant change in results of operations is expected from the corresponding period of the prior year, and it does not state the company's results for the quarter.

## The last annual figures

The company's annual report on Form 10-K, filed April 15, 2025, is the most recent full set of figures available at the time of the notice. Its XBRL data show research and development expense of $773,279 for 2024, against $798,165 for 2023. The net loss was $3.3 million in 2024, down from $4.1 million in 2023. Cash used in operations was $872,436 in 2024 and $1.4 million in 2023.

The notice itself gives no cash balance, and it does not say how the company is funding the operations it described in its annual report.

## The business

Sigyn describes itself as a developer of medical devices to treat cancer and infectious disease. Its platforms include ImmunePrep, which the company says is meant to improve the delivery of immunotherapeutic antibodies by sweeping antibody decoys out of the bloodstream before infusion. The company says that in many cases less than 2% of an antibody dose reaches its cancer target. ChemoPrep is meant to improve the delivery of chemotherapy, and ChemoPure is meant to extract off-target chemotherapy from the blood to reduce toxicity.

The company's lead therapeutic candidate is Sigyn Therapy, which it says is designed to extract viral pathogens, bacterial toxins and inflammatory cytokines from blood plasma. The annual report says first-in-human studies are planned to enroll patients with end-stage renal disease who have endotoxemia and concurrent inflammation. It describes the program as still at the planned stage, and it does not report clinical results from any patient. For the xenotransplantation use, the report says feasibility of administering Sigyn Therapy has been demonstrated in eight porcine subjects to date.

The report puts the U.S. end-stage renal disease population at approximately 550,000 people. It says the dialysis industry in North America is dominated by Fresenius Medical Care and DaVita, Inc., and it claims that each month of extended patient life would equate to approximately $1 billion in added revenue for each company. That is the company's own estimate and the report does not show how it was calculated.

Sigyn also points to xenotransplantation, where it says approximately 90,000 people in the United States are on the kidney transplant waitlist, while fewer than 30,000 kidney transplants are performed each year. The report says Sigyn Therapy could reduce the spread of infection in organ transplantation, including from pig-derived kidneys. The company says its team previously worked on a device that received FDA Emergency Use Authorization for an Ebola pathogen, and that the device was named to TIME Magazine's lists of top inventions and medical breakthroughs. The report presents those as the team's past achievements, not as results for Sigyn Therapy.

## What comes next

The notice commits the company to file the quarterly report within five days of the original due date, and nothing in the notice describes a financing or a plan to fund the first-in-human studies.
