Senti Biosciences Holdings, Inc. ([SNTI](https://aibio.space/companies/senti-biosciences/)) said in an 8-K dated August 27, 2026 that Nasdaq sent it two separate deficiency notices that day, one over its closing bid price and one over its stockholders' equity. The listing is unchanged for now.

The bid-price notice says the closing bid was below $1.00 for 30 consecutive trading days, a breach of Nasdaq Listing Rule 5550(a)(2). The equity notice says the company had a stockholders' deficit of $3,401,000 as of June 30, 2026, below the $2.5 million minimum under Rule 5550(b)(1). Nasdaq also found that Senti met none of the alternative standards as of August 27.

## Two clocks

The bid-price problem has the longer clock. Senti has 180 calendar days, until February 23, 2027, under Rule 5810(c)(3)(A). To regain compliance, its closing bid must be at least $1.00 for a minimum of 10 consecutive trading days before that date. If it falls short, the company may be eligible for a second 180-day period, but only if it meets the market value of publicly held shares requirement and the other initial listing standards, except the bid price. It must also give notice that it will cure the deficiency, by reverse split if necessary.

The equity problem is on a shorter timetable. The company must give Nasdaq a plan to regain compliance by October 11, 2026. If Nasdaq accepts the plan, it may grant up to 180 calendar days from August 27, 2026. If Nasdaq rejects it, Senti may request a hearing before a Nasdaq Hearings Panel.

Senti says it will monitor the bid price and may pursue a reverse split, subject to approval by its board and stockholders. A preliminary proxy statement for its 2026 annual meeting includes a reverse split proposal.

## Financing and pending deals

On September 1, 2026, Senti amended an April 27 securities purchase agreement covering senior secured convertible notes issued by Senti Holdings, Inc. The amendment allows the notes to be issued in more than two tranches, with the consent of CPIF II-7 Limited. It also authorizes a third tranche of $2.0 million in principal to NSG BioInnovation Fund, L.P. Under the amendment, NSG's purchase satisfies the remaining note-purchase obligation of Celadon Partners SPV 35 Limited under a merger agreement dated July 14, 2026.

Senti's preliminary proxy filed July 21 covers what it calls the "Subject Transactions": notes issued beyond an exchange cap, a potential merger of a Celadon-affiliated entity into Senti Holdings, and a contingent value right that may pay up to $60.0 million in cash on regulatory and sales milestones for SENTI-202. The company says it intends to submit a plan to Nasdaq, but the 8-K does not describe what the plan contains.

## The business and the cash

Senti describes itself as a clinical-stage biotechnology company building cell and gene therapies on gene circuits. Its lead candidate, SENTI-202, is an off-the-shelf CAR-NK cell therapy for blood cancers, now in an open-label, multi-center Phase 1 trial in the United States and Australia for relapsed or refractory hematological malignancies, including acute myeloid leukemia. The company calls it a potentially first-in-class therapy. The 10-K says the company reported data in 2024 and 2025 from twenty AML patients in the Phase 1 trial: a 50% overall response rate, 42% achieving CR/CRh and a 7.6 months median duration of composite Complete Remission, which the company calls a favorable safety profile. That is a small, uncontrolled dataset, reported by the company. The FDA granted Orphan Drug Designation on June 18, 2025 and RMAT designation on December 9, 2025.

Senti reported a net loss of $61.4 million for 2025, up from $52.8 million in 2024. Cash used in operations was $43.4 million in 2025, against $41.4 million in 2024, and research and development expense rose to $37.6 million from $34.4 million. Cash and cash equivalents were $48.3 million at the end of 2024 and $16.4 million at the end of 2025. They were $6.5 million at June 30, 2026, according to the company's 10-Q.
