Scribe Therapeutics Inc. priced its initial public offering at $15.00 per share, according to a prospectus dated July 23, 2026 and filed July 27, 2026. The company is offering 8,580,000 shares of common stock, approved for listing on the Nasdaq Global Market under the symbol SCTX. At that price the offering totals $128,700,000 before expenses. Underwriting discounts and commissions are $9,009,000, leaving $119,691,000 in proceeds to Scribe before expenses. The underwriters also hold a 30-day option to buy up to 1,287,000 more shares.

Leerink Partners LLC, Goldman Sachs & Co. LLC, Guggenheim Securities, LLC and Wells Fargo Securities, LLC are the representatives of the underwriters. They have agreed to buy 3,003,000, 3,003,000, 1,544,400 and 1,029,600 shares respectively. The discount is $1.05 a share, expenses other than discounts are about $4,400,000, and Scribe will reimburse the underwriters up to $40,000. Fenwick & West LLP of Seattle passes on the validity of the shares for Scribe, and Latham & Watkins LLP is counsel to the underwriters. Scribe, its officers and directors and holders of substantially all its securities agreed to a 180-day lock-up, which Leerink Partners and Goldman Sachs can waive.

## A private placement tied to the IPO

Aventis, Inc., a Sanofi company, together with Genzyme Corporation, has agreed to buy 500,000 shares in a concurrent private placement at the IPO price. The placement closes only if the IPO closes, while the IPO does not depend on the placement. Including the placement, the company estimates net proceeds of approximately $122.8 million, or $140.7 million if the underwriters exercise their option in full.

## Going concern doubt and a runway into 2029

Management and the company's independent registered public accounting firm have concluded there is substantial doubt about Scribe's ability to continue as a going concern. At March 31, 2026, the company had $49.7 million in cash, cash equivalents and marketable securities, $40.5 million in outstanding indebtedness and an accumulated deficit of $175.1 million. It recorded a net loss of $17.4 million for the three months ended March 31, 2026.

Scribe estimates that its cash, together with the net proceeds of the offering and the placement, will fund operations into the first half of 2029. The prospectus says that estimate rests on assumptions that may prove wrong.

Dilution is the other side of the raise. The share count after the offering is based on 8,497,386 shares outstanding at March 31, 2026, after conversions of preferred stock, warrants and notes, against 8,580,000 new shares in the IPO.

## A lead drug not yet tested in people

Scribe's lead candidate, STX-1150, uses its ELXR epigenetic silencing technology and is designed to lower LDL-C without permanent genetic changes. A first-in-human trial in Australia, cleared by the Australian Therapeutic Goods Administration, will enroll up to 64 adults with elevated LDL-C. Scribe expects initial data, including safety, tolerability and LDL-C-lowering activity, in the first half of 2027.

The animal results are the company's own. In non-human primates, a single dose of the prototype at 0.75 mg/kg, the lowest tested level, produced LDL-C reductions of greater than 50% that the company says have been maintained for two years, with liver enzyme profiles comparable to saline controls. Those studies do not show how the drug will behave in people.

The company cites discontinuation rates by day 300 of 71% for statins and 55% for PCSK9 antibodies. The risk factors warn that competitors may win approval first or develop therapies that are safer or more effective.

## Partners, pipeline and capital raised

The Sanofi collaboration applies Scribe's XE technology to in vivo CRISPR-based therapies for sickle cell disease and other genetic diseases. The Lilly collaboration covers neurological and neuromuscular disorders.

STX-1200 and STX-1400 are preclinical. Scribe expects to start a Phase 1 trial for one of them as early as 2027 and the other in 2028.

Since its founding in 2017, Scribe says it has raised approximately $150.0 million in equity, with one dilutive financing in the past four years.
