The case, Mevi et al. v. Ji et al., Case No. 3:26-cv-02113-DMS-DEB, was filed on April 3, 2026 in the U.S. District Court for the Southern District of California. On June 25, 2026 the court granted the plaintiffs' motion to stay, and the 10-Q says all deadlines, including the deadline to serve the complaint, are tolled for the duration of the stay. The plaintiffs have named as defendants "among others," Scilex and Semnur, according to the filing. It does not list the other defendants and does not say who "Ji" in the caption is. Scilex's chief executive officer and president, according to the same 10-Q, is Henry Ji, Ph.D., and its chief operating officer and chief financial officer is Stephen Ma. The filing does not say whether either is a defendant. ## The case The complaint alleges, among other things, wrongful conduct relating to Sorrento's bankruptcy proceedings and subsequent transactions involving Sorrento's assets. The claims the 10-Q lists include aiding and abetting breach of fiduciary duty and violation of California Penal Code Section 496. The complaint seeks unspecified compensatory damages, treble damages, disgorgement, punitive damages, attorneys' fees, costs and other relief. The 10-Q does not say whether the suit is a class action. It does not describe what transactions are at issue, and it does not give Sorrento's bankruptcy case number. ## Defendants Named in the 10-Q: Scilex Holding Company and Semnur, which the filing identifies as Semnur Pharmaceuticals, Inc. The caption names a defendant "Ji." Other defendants are not identified. Scilex's 10-K for 2025, filed April 10, 2026, repeats the same description and does not add names. ## Where it stands The 10-Q reports one procedural step: the June 25, 2026 order staying the action. The 10-Q does not say whether the complaint has been served. In its 10-K, Scilex said it intends to defend the action vigorously and cannot predict the outcome or reasonably estimate the possible loss or range of loss, if any. The 10-Q does not repeat either statement for this case. ## Related matters The same note describes other proceedings. On March 11, 2026 Scilex filed a complaint in the U.S. District Court for the Central District of California against Marc Wade, St. James, Omega & Corinth Group Ltd., certain associates, and Bank of New York Mellon Corporation. It asserts securities fraud, fraudulent inducement, conversion and, against BNY, negligence, and seeks more than $100 million in damages. In Seoul, NeuroBiogen Co. Ltd sued Scilex over the April 17, 2025 KDS2010 agreement, alleging a missed upfront fee. Scilex disputes the claim. In the Delaware Court of Chancery, the court on April 2, 2026 awarded Scilex Pharma and Sorrento more than $5.3 million in attorneys' fees against Anthony Mack, the former president of Scilex Pharma, and the parties await final judgment. ## Why it matters to shareholders Scilex says it records an accrual when a loss is probable and can be reasonably estimated. The 10-Q's description of the Mevi case mentions no accrual or loss estimate. The filing says Scilex is not a party to other material litigation beyond the matters it lists. The 10-Q also says conditions it describes raise substantial doubt about Scilex's ability to continue as a going concern, which is a separate disclosure from the lawsuit.
