Tickers [SVRA](https://aibio.space/companies/savara/)

Savara stockholders approved doubling authorized common stock to 600,000,000 shares. The 8-K gives no reason for the increase, and it also reports a new CFO and COO effective July 15, 2026, after the current CFO resigns for health reasons.

## The authorized share vote

Savara, Inc. (Nasdaq: [SVRA](https://aibio.space/companies/savara/)) said in a Form 8-K filed June 8, 2026 that its stockholders approved, at the annual meeting held June 4, 2026, an amendment to its certificate of incorporation. The amendment raises authorized common stock from 300,000,000 shares to 600,000,000 shares. The company filed it with the Secretary of State of Delaware the same day, and it took effect on filing.

The amendment received 176,809,841 votes for, 6,847,631 against and 180,544 abstentions. The 8-K does not say why the company wants to double its authorized shares. It also does not state how many shares are outstanding or how many new shares the company plans to issue, so the size of the potential dilution cannot be measured from the filing.

## The equity plan and the board

Stockholders also approved an amendment to the Savara Inc. 2024 Omnibus Incentive Plan that adds 18,900,000 shares for issuance under it. That proposal drew 156,664,451 votes for and 2,324,514 against, with 220,113 abstentions and 24,628,938 broker non-votes.

All six director nominees were elected. The weakest support went to Joseph S. McCracken, who received 150,211,353 votes for and 8,937,566 against, the largest opposition of any nominee. The vote on RSM US LLP as auditor for the year ending December 31, 2026 received 183,558,080 votes for and 231,887 against. The advisory vote on executive pay received 156,706,529 votes for and 2,307,296 against.

## The finance chief change

On June 5, 2026 the board appointed Robert Lutz as Chief Financial and Operating Officer, effective July 15, 2026. Lutz, who is 57, has been Savara's chief operating officer since February 2023. His annual base salary will be $510,000. Subject to board approval, he is to receive an option to buy 70,000 shares, vesting in sixteen quarterly installments after the effective date, and 35,000 restricted stock units that vest in full on the two-year anniversary.

David Lowrance resigns as chief financial and administrative officer on the same date, citing health reasons. He will receive severance under his employment agreement and 12 months' acceleration of unvested equity awards, provided he signs a customary release. The company expects to enter a consulting agreement with him at $200 an hour, which either side can end on 30 days' written notice. That agreement will be filed as an exhibit to the quarterly report for the period ended June 30, 2026.

The 8-K gives no reason for combining the finance and operating roles, and it does not say whether a separate chief financial officer will be named later.

## What the 10-K shows

Savara's annual report on Form 10-K, filed March 13, 2026, says the company is substantially dependent on the clinical, regulatory and commercial success of its sole product candidate, molgramostim inhalation solution, which it calls MOLBREEVI. The filing says the business may be harmed if the company cannot complete development, win approval and commercialize that drug.

Its financial figures from the same filing show a widening loss. Research and development expense was $81.4 million in 2025, up from $78.0 million in 2024. The net loss was $118.8 million in 2025, against $95.9 million a year earlier. Cash used in operations was $101.0 million in 2025, compared with $89.1 million in 2024. At year-end 2024, cash and cash equivalents were $15.1 million and short-term investments were $181.2 million.

The 10-K risk summary says the Hercules Loan Agreement contains covenants that may adversely affect the business, and its forward-looking statements list the company's ability to comply with covenants under its long-term debt instruments and its ability to obtain additional funding. Neither the 8-K nor the annual report ties the new authorized share count to any financing.

## What comes next

Lutz takes the combined finance and operating role on July 15, 2026, and Lowrance's consulting agreement will be filed with the quarterly report for the period ended June 30, 2026. The company has not said how it will use the additional authorized shares.
