Salarius Pharmaceuticals, Inc. received written notice from The Nasdaq Stock Market LLC on December 31, 2025 that Nasdaq has determined to delist its securities from The Nasdaq Capital Market unless the company appeals. The company disclosed the determination in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1615219/000161521926000005/flks-20251231.htm) filed January 2, 2026. Nasdaq said the closing bid price of the common stock had been below the $1.00 minimum for 30 consecutive business days, under Nasdaq listing rule 5550(a)(2).

## Why there is no grace period

A company in this position would normally get a 180-calendar day period to regain compliance. Salarius does not. The 8-K says that under Nasdaq listing rule 5810(c)(3)(A)(iv), and because the company remains subject to a Mandatory Panel Monitor, it is not eligible for any compliance period. The reason given is that the company effected a reverse stock split during the prior one-year period.

## The schedule and the appeal

Unless the company requests an appeal by January 7, 2026, Nasdaq has determined that the securities will be scheduled for delisting and suspended at the opening of business on January 9, 2026. A Form 25-NSE would then be filed with the Securities and Exchange Commission, which would remove the securities from listing and registration.

The company says it intends to appeal on or before January 7, 2026 by requesting a hearing before a Nasdaq Hearings Panel. The 8-K says a request for an appeal will stay the suspension and the Form 25-NSE filing until the panel decides. The company says it intends to present its plans to regain compliance with the minimum bid price requirement. It also says there are no assurances the panel will decide in its favor, or that the securities will remain listed on The Nasdaq Capital Market.

## Money and going concern

The annual report filed March 21, 2025 says the company's lack of revenue from product sales and recurring losses raise substantial doubt about its ability to continue as a going concern. It reported cash and cash equivalents of $2.4 million as of December 31, 2024, and said it would need substantial additional capital to continue operations. The report says its existing cash may not fund operations for more than 12 months, and that the company may need capital sooner.

The 8-K does not give a cash balance for late 2025, so the filing does not show whether the company had the cash to fund the appeal period or its plans to regain compliance.

## The pipeline the company has cut back

Salarius described itself in its annual report as a clinical-stage biopharmaceutical company developing treatments for cancers caused by dysregulated gene expression. Its pipeline then included two small molecule drugs, SP-3164, a targeted protein degrader, and seclidemstat, also called SP-2577, a targeted protein inhibitor.

The report says a lack of funding required the company to curtail spending needed to begin clinical trials of SP-3164. On July 19, 2024, the company said it would close its ongoing Phase 1/2 trial of SP-2577 in Ewing sarcoma, which it stopped to conserve cash. It continued to support a trial run by The University of Texas MD Anderson Cancer Center in myelodysplastic syndromes and chronic myelomonocytic leukemia. The FDA placed that trial on partial clinical hold in July 2024 after a serious adverse event, encephalopathy, that the report calls reversible. The company announced in February 2025 that the hold had been lifted.

## The merger and the retained adviser

The annual report describes an agreement and plan of merger with Decoy Therapeutics, Inc. and two merger subsidiaries. On August 8, 2023, Salarius said it had retained Canaccord Genuity, LLC to lead a comprehensive review of strategic alternatives. The 8-K does not describe the merger terms or whether it has closed.

Mark J. Rosenblum, Executive Vice President and Chief Financial Officer, signed the 8-K on January 2, 2026.
