## The exchange and the new cash

Repligen Corporation said on October 30, 2026, that it signed privately negotiated exchange and subscription agreements for $1.0 billion of 0.25% convertible senior notes due 2031. The new notes go to certain holders of its 1.00% convertible senior notes due 2028 and to new investors. About $541.4 million of the new notes will be issued in exchange for about $456.8 million of the 2028 notes. The remaining $458.6 million will be issued for cash. Repligen says it will receive no cash from the exchange. About $143.2 million of the 2028 notes will stay outstanding with unchanged terms.

The new notes carry an initial conversion price of about $226.37 per share, a premium of about 20% over the October 29, 2026 closing price. The release does not state how many common shares that conversion would cover. Closing is expected on or about November 6, 2026, subject to customary conditions.

Repligen plans to use about $120.0 million of the net cash proceeds to buy back its own shares from certain purchasers of the new notes, through a financial intermediary, at $188.64 per share. That is the last reported sale price on October 29, 2026. The remaining proceeds are for working capital and general corporate purposes, including possible acquisitions of or investments in complementary businesses.

## Banks and the stock purchases

J. Wood Capital Advisors LLC acted as placement agent for the transactions, according to the release. The $458.6 million cash figure is a gross estimate that excludes the placement agent's fees and other offering expenses. The release names no underwriter, and it names no legal counsel for the company or the agent.

The release also says the placement agent has been advised that it intends to buy about $30.0 million of Repligen common stock from participants in the transactions, through a financial intermediary, at a discount to the October 29 sale price. Repligen says these purchases, together with its own buybacks, could increase or reduce the market price of its common stock or the new notes. The stock buyback price of $188.64 sits below the conversion price of about $226.37.

## What the company says and what its filings show

Chief Financial Officer Jason Garland said the transactions "reduce our interest expense" and extend debt duration. The company said the lower interest cost is expected to be nominally accretive to adjusted EPS in 2026, with more benefit in 2027. Those are the company's own projections, and the release does not show the calculation behind them.

The annual report shows net income of $48.9 million for 2025, after a net loss of $25.5 million in 2024. Cash provided by operations, however, fell to $117.4 million in 2025 from $175.4 million in 2024. Research and development expense rose to $54.2 million from $43.2 million. Year-end cash and cash equivalents were $566.0 million for 2025, down from $757.4 million a year earlier. Short-term investments were $201.6 million at the end of 2025, compared with none at the end of 2024. The third-quarter 10-Q reports cash and cash equivalents of $727.0 million and short-term investments of $136.0 million at September 30, 2026.

The company is refinancing a maturity it calls upcoming. Part of the 2028 notes is being swapped into 2031 notes, and the $143.2 million of 2028 notes that stay in place keep their original terms.

## What comes next

The closing is expected on or about November 6, 2026. The release says Repligen intends to file a Form 8-K with the SEC the same day. Garland said the company's near-term focus is the integration of BioLife, the business it acquired, and that the company wants to serve the cell therapy market with its expanded capabilities. The release gives no timetable for any acquisition the new capital might fund.
