Rein Therapeutics, Inc. (Nasdaq: [RNTX](https://aibio.space/companies/rein-therapeutics/)) said in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1420565/000119312525198816/d47459d8k.htm) dated September 9, 2025 that YA II PN, Ltd. (Yorkville), a Cayman Islands exempt limited partnership, purchased a second pre-paid advance of $1.0 million on September 8, 2025, at Rein's request. Rein received net proceeds of $0.95 million. Timothy M. Cunningham, the chief financial officer, signed the filing.

## Terms of the Yorkville facility

The advance sits under a Pre-Paid Advance Agreement that Rein signed with Yorkville on July 29, 2025. Rein may request advances of up to $6.0 million over 12 months, subject to limits and conditions, and each additional advance needs Yorkville's consent. Yorkville buys each advance at 95% of its face amount, which is why $1.0 million of face value produced $0.95 million of cash.

Interest accrues on any outstanding balance at an annual rate of 8%, rising to 18% on events of default. All advances fall due on the 12-month anniversary of their issuance. While any balance is outstanding, Yorkville may give written notice requiring Rein to issue and sell it common stock, and the proceeds are offset against what Rein owes. The 8-K does not state the price formula for those shares, so it does not say how many shares Rein could be asked to issue.

The first advance, also $1.0 million for net proceeds of $0.95 million, was bought on July 29, 2025. As of the filing, Rein had issued 479,036 shares to Yorkville at an average price of approximately $1.06 per share. Those shares were offset against $500,000 of the initial advance. Part of the first advance is therefore already being repaid in stock.

The second advance was sold in a private placement under Section 4(a)(2) of the Securities Act, and the 8-K says no underwriter was involved. It names no placement agent, financial adviser or counsel. The filing reports the transaction under Items 1.01, 2.03 and 3.02. It gives no cash balance for Rein.

## The company behind the financing

Rein is based in Austin, Texas. Its April 2025 annual report describes a clinical-stage company working on orphan pulmonary and fibrosis diseases that have no approved or only limited treatments. It has two candidates in the clinic, LTI-03 and LTI-01, plus preclinical programs in cystic fibrosis and a peptide program aimed at the Cav1 protein for systemic fibrosis.

LTI-03 is an inhaled peptide being developed for idiopathic pulmonary fibrosis, or IPF. The company says IPF is progressive and fatal, with a median survival from diagnosis of three to five years and approximately 100,000 people living with it in the United States. LTI-03 has orphan drug designation in the U.S. Two approved drugs, nintedanib and pirfenidone, slow lung function decline but, in the company's words, provide only modest clinical benefit.

Much of the evidence for LTI-03 is early. In lung slices from end stage IPF tissue, the company reports anti-fibrotic activity similar to nintedanib in a single patient sample and in a composite of six patient samples. Those are laboratory tests on tissue, not results in treated patients. The company has also run a Phase 1b dose-ranging, placebo-controlled trial.

The Phase 1a trial in healthy volunteers in the United Kingdom produced a notable share of adverse events. In the single-dose cohorts, 21 of 24 subjects given LTI-03 had treatment emergent adverse events, mostly mild dry coughs. In the multiple-dose cohorts, mild coughs related to LTI-03 occurred in 12 of 12 subjects over 14 days of dosing, against three of four subjects given placebo. Chest discomfort and labored breathing each occurred in two subjects, and in each case one was rated related and severe. During the second 40 mg multiple-dose cohort, the company placed the study on hold after one subject developed severe adverse events.

LTI-01, a proenzyme, completed a Phase 2a dose-ranging, placebo-controlled trial and a Phase 1b trial in loculated pleural effusion, an indication with no approved drug. In June 2024, Rein decided to temporarily delay its development until more funds are raised. In the fourth quarter of 2024, it concluded that the delay may not be short-term.
