### The pricing

REGENXBIO Inc. (Nasdaq: [RGNX](https://aibio.space/companies/regenxbio/)) launched an underwritten public offering of common stock and pre-funded warrants on July 16, 2026, with a preliminary prospectus supplement. The final supplement, dated July 16, prices 10,003,889 shares at $9.00 and 1,111,111 pre-funded warrants at $8.9999, an aggregate public offering price of about $100,034,889. Each warrant has a $0.0001 exercise price, and the company does not intend to list them. Underwriting discounts are $0.54 per share and per warrant, $6,002,100 in all, which leaves $94,032,789 before expenses.

The stock closed at $11.20 on Nasdaq on July 16, above the offering price. The company estimates net proceeds of about $93.7 million, or about $107.8 million if the underwriters buy the 1,667,250 extra shares they can take within 30 days. Closing was expected on or about July 20, 2026. The offering uses a Form S-3 shelf (File No. 333-291816) filed November 26, 2025 and effective December 12, 2025.

### Banks and counsel

Morgan Stanley & Co. LLC, J.P. Morgan Securities LLC, Leerink Partners LLC and Mizuho Securities USA LLC are the representatives and joint book-running managers. Morgan Stanley takes 3,401,323 shares and 377,777 warrants, J.P. Morgan 3,201,244 shares and 355,556 warrants, Leerink 2,701,050 shares and 300,000 warrants, and Mizuho 700,272 shares and 77,778 warrants. The company reimburses up to $5,000 of FINRA clearance costs and estimates other offering expenses at about $350,000. The company and all directors and officers and their affiliates agreed to a 60-day lock-up. Covington & Burling LLP of Washington, D.C. is the company's counsel, and Davis Polk & Wardwell LLP of New York is counsel to the underwriters.

### Dilution and going concern

Net tangible book value was $21.1 million, or $0.41 a share, at March 31, 2026, with 51,617,233 shares outstanding. The filing puts immediate dilution to new investors at $7.14 a share, before any exercise of options, warrants or the underwriters' option.

The prospectus supplement says the company's existing cash, cash equivalents and marketable securities may not fund operations for at least 12 months, so there is substantial doubt about its ability to continue as a going concern. Its financial statements for 2025 and for the quarter ended March 31, 2026 carry that disclosure, and PricewaterhouseCoopers LLP's report on 2025 has an explanatory paragraph on it.

REGENXBIO expects cash, cash equivalents and marketable securities of about $105.5 million at June 30, 2026, against $150.5 million at March 31, subject to closing procedures. For 2025 it reported a net loss of $193.9 million, against $227.1 million, and used $124.0 million in operations, against $173.1 million. Research and development expense was $228.3 million, up from $208.5 million. The proceeds are for general corporate purposes, with no specific project named.

### The pipeline

In May 2026 the company announced topline results from the pivotal AFFINITY DUCHENNE trial of RGX-202. The primary endpoint, measured at week 12 in 30 patients, was microdystrophin expression, a biomarker. It says 93% of patients had expression above 10%. Functional data come from nine patients at 12 months. The company plans a BLA under accelerated approval in the third quarter of 2026.

RGX-121 (NAVSUNLI) for MPS II received an FDA Complete Response Letter in February 2026. The FDA lifted a partial clinical hold on it on April 30, 2026. The company says the FDA acknowledged that existing data can be considered for accelerated approval without new patients or studies. It expected a Type A meeting in July 2026 and a resubmission in the third quarter.

RGX-111 for MPS I remains on partial clinical hold after a neoplasm, an intraventricular central nervous system tumor, in a participant treated four years earlier. Analysis found an AAV vector genome integration event linked to overexpression of PLAG1. The company says the patient continues to do well.

The company says it earned a $100.0 million milestone payment from AbbVie when the first patient was dosed in the NAAVIGATE Phase IIb/III trial of sura-vec, expected in July 2026.
